LICENSES, PERMITS AND REGISTRATIONS. 11.1 The Company and the Subsidiaries, to the best of their knowledge, have applied for or obtained / renewed all authorizations, consents, licenses, permits and registrations as required under Applicable Law for the conduct of or operation of the Business and activities as currently conducted or for ownership of its Assets. In respect of each such authorization, consent, license, permit, and registration:
LICENSES, PERMITS AND REGISTRATIONS. 10.1--Throughout the term of this Agreement, Contractor will, except as otherwise provided in Terms of Payment, obtain and maintain, at its sole expense, all licenses and permits and renewals thereof required to perform the services required by this Agreement. Contractor shall also be solely responsible for the payment when due of all fees and other amounts relating to Equipment or this Agreement, including all taxes, levies, assessments, fines, penalties, sanctions or other amounts imposed in connection with the possession or operation of Equipment or the provision of services required by this Agreement. Contractor will provide full particulars of all such licenses, permits and payments to the Company.
LICENSES, PERMITS AND REGISTRATIONS. (a) The Licenses Schedule contains a complete listing and summary description of all material permits, licenses, franchises, certificates, orders, approvals, registrations, and other authorizations of Governmental Entities or other similar rights (collectively, the “Licenses”) owned or possessed by the Company or its Subsidiaries or used by the Company or its Subsidiaries in the conduct of their businesses. Except as indicated on the Licenses Schedule, the Company or its Subsidiaries owns or possesses all right, title and interest in and to all of the Licenses which are necessary to conduct its businesses as presently conducted. The Company and each of its Subsidiaries has not violated in any material respect the terms of any Licenses. No loss or expiration of any License is pending or, to the Company’s Knowledge, threatened, or reasonably foreseeable (including as a result of the transactions contemplated hereby) other than expiration in accordance with the terms thereof.
LICENSES, PERMITS AND REGISTRATIONS. All licenses, permits, registrations, certifications and approvals of the Business to the extent transferable, including, without limitation, the ORYX certifications/approvals, other than these relating solely to the operation of Institute's facilities.

Institute has all licenses, permits, registrations, approvals, authorizations and consents of all Government Entities and of all certification organizations required for the conduct of the Business. All such licenses, permits, approvals, authorizations and consents are described in Schedule 4.10.(b), are in full force and effect and are assignable to Buyer in accordance with the terms hereof. Except as set forth in Schedule 4.10.(b), the Business (including its operations, properties and assets) is and has been in compliance in all material respects with all such permits, registrations, licenses, approvals, authorizations and consents.

Buyer has all licenses, permits, registrations, approvals, authorizations and consents of all Government Entities and of all certification organizations required for the conduct of its business. All such licenses, permits, approvals, authorizations and consents are in full force and effect. Buyer (including its operations, properties and assets) is and has been in compliance in all material respects with all such permits, registrations, licenses, approvals, authorizations and consents.
LICENSES, PERMITS AND REGISTRATIONS. All licenses, permits, registrations, certifications and approvals of Company to the extent transferable.
LICENSES, PERMITS AND REGISTRATIONS. Company has all licenses, permits, registrations, approvals, authorizations and consents of all Government Entities required by applicable Laws to be obtained by Company and of all certification organizations required for the conduct of the Business and the operation of Company's facilities. All such licenses, permits, approvals, authorizations and consents are described in Schedule 4.10.(b), are in full force and effect and, to the extent assignable, are assignable to Buyer in accordance with the terms hereof. Except as set forth in Schedule 4.10.(b), Company (including its operations, properties and assets) is and has been in compliance in all material respects with all such permits, registrations, licenses, approvals, authorizations and consents.
LICENSES, PERMITS AND REGISTRATIONS. Except as set forth in Exhibit J hereto, each of the Company and Manager has procured and is in possession of all licenses, permits, exemptions or registrations required by federal, state or local laws for the ownership, operation and maintenance of the Project, as the case may be. With respect to any license, permit, exemption or registration that either (i) is currently required under applicable law, but is not currently in effect or has not been obtained as required, or (ii) must be amended or transferred after the closing, the Company reasonably expects that such license, permit or registration will be obtained, amended or transferred in the ordinary course of business after the closing without any material expense to the Company (except as reflected in the Company's pro forma financial statements referred to in paragraph 8B(2)) or any material change in the operation of the Project.
LICENSES, PERMITS AND REGISTRATIONS. Section 3.22 of the Company Disclosure Schedule contains a true and complete list of all Permits held by the Company, including all Permits that are required for the operation of the Company's business as currently conducted. The Company has provided to Buyer true and complete copies of each of the Permits listed in Section 3.22 of the Company Disclosure Schedule. The Company owns, holds or possesses all Permits that are required by any Governmental Authority or Law to permit it to conduct its business. The Company is in compliance in all material respects with all such Permits. All such Permits are valid and in full force and effect. The Company is not in default or violation of any Permit. No condition exists that, with notice or lapse of time or both, would constitute a default or violation under, any Permit held by the Company. There is no pending or threatened action, investigation or proceeding with respect to the revocation, cancellation, suspension or nonrenewal of any such Permit. The Company has not received notice from any Governmental Authority: (a) asserting the violation of the terms of any such Permit, (b) threatening to revoke, cancel, suspend or not renew the terms of any such Permit or (c) seeking to impose fines, penalties or other sanctions for violation of the terms of any such Permit. None of such Permits will be terminated, or will become terminable, in whole or in part, pursuant to their terms as a result of this Agreement or the consummation of the Acquisition or the other transactions contemplated by this Agreement or the other Transaction Documents.
