At Closing and thereafter as Lender deems necessary in its sole discretion, Borrower shall execute and deliver to Lender, or have executed and delivered (all in form and substance satisfactory to Lender in its sole discretion) any agreements, documents, instruments, and writings deemed necessary by Lender or as Lender may otherwise request from time to time in its sole discretion to evidence, perfect, or protect Lender's Lien and security interest in the Collateral required under this Agreement. Borrower hereby authorizes Lender to file one or more financing statements and amendments thereto describing the Collateral and describing any agricultural liens or other statutory liens held by Lender.

As Lender deems necessary, and as Lender may request from time to time, Guarantor shall execute and deliver to Lender, or have executed and delivered (all in form and substance satisfactory to Lender), any agreements, documents, instruments and writings, required to evidence, perfect or protect Lender’s lien and security interest in the Collateral required hereunder.
Lien Documents. At Closing and thereafter as LENDER reasonably deems necessary, each BORROWER shall duly authorize, execute and deliver to LENDER or shall have duly authorized, executed and delivered (all in form and substance reasonably satisfactory to LENDER):

At the Closing and thereafter as Administrative Agent deems necessary, Borrower shall execute and/or deliver to Administrative Agent, or have executed and delivered (all in form and substance satisfactory to Administrative Agent and its counsel): (a) Financing statements pursuant to the UCC, which Administrative Agent may file in the jurisdiction where Borrower is organized and in any other jurisdiction that Administrative Agent deems appropriate; and (b) Any other agreements, documents, instruments and writings, including, without limitation, intellectual property security agreements, required by Administrative Agent to evidence, perfect or protect the Liens and security interests in the Collateral or as Administrative Agent may reasonably request from time to time. 3.3
Lien Documents. On or before the Initial Funding Date, and thereafter from time to time as Agent deems necessary, each Borrower shall execute and/or deliver to Agent the following (all in form and substance satisfactory to Agent):
