Limitation on Indemnity Obligation. KNE's obligation to indemnify TBI under this Article X shall not exceed $20,000,000.00, in the aggregate.
Limitation on Indemnity Obligation. (a) Notwithstanding anything in this Article X to the contrary, to the extent indemnification is sought under Section 10.1(a) or 10.2(a), the Seller or the Buyer, as the case may be, shall be required to provide indemnification only at such time as the aggregate amount of Losses arising under Section 10.1(a) or 10.2(a), as the case may be, exceeds $2,000,000, in which event the Indemnifying Party (as the case may be) shall only indemnify for the amount of Losses in excess of such minimum amount of Losses. Notwithstanding anything in Section 10.1 or 10.2 to the contrary, the cumulative indemnification obligation of the Seller, on the one hand, and the Buyer, on the other, in respect of any and all claims arising under Sections 10.1(a) or Section 10.2(a), as the case may be, shall not exceed $30,000,000. The limitations on indemnification set forth in this Section 10.3(a) shall in no event apply to any claim in respect of Losses arising from or related to any breach of any representation or warranty in Sections 4.4, 4.11 or 4.16.
(b) To the extent any Indemnified Party is seeking indemnification for Losses in respect of the breach of any representation or warranty, such Indemnified Party shall be entitled to indemnity only for those Losses as to which such Indemnified Party has given written notice thereof to the Indemnifying Party prior to the termination of the applicable survival period for such representation or warranty applicable to such Loss pursuant to Section 9.1. Such Indemnified Party may at its option give notice under this Article X as soon as it has become aware of a potential claim in respect of any breach of such representation or warranty, regardless of whether any Losses have been suffered, so long as such Indemnified Party shall in good faith determine that such potential claim is not frivolous or that such Indemnified Party may be liable or otherwise incur Losses as a result of such claim or otherwise. Any written notice delivered by such Indemnified Party pursuant to this Section 10.3(b) shall set forth with reasonable specificity the basis of the claim for Losses and, if practicable, an estimate of the amount thereof.

Limitation on Indemnity Obligation. Notwithstanding the provisions of Section 10.1 and 10.3, no Indemnified Party shall be entitled to indemnification from the Indemnifying Party hereunder until the aggregate amount of all PAC Parties Losses or PFP Stockholders' Losses, as applicable, incurred by the Indemnified Party exceeds U.S. $100,000 or the foreign currency equivalent thereof (the "Indemnification Threshold"). In the event the aggregate amount of all PAC Parties Losses exceeds the Indemnification Threshold, the Share Holdback shall be applied to satisfy the amounts of PAC Parties Losses in excess of the Indemnification Threshold. The Share Holdback shall be PAC Parties' exclusive remedy and source of compensation for the indemnification for money damages provided by the PFP Stockholders hereunder. As provided in the Escrow Agreement, the portions of the Share Holdback attributable to each of the PFP Stockholders shall be applied on a pro rata basis to satisfy the PAC Parties Losses. Accordingly, the PAC Parties shall not be entitled to proceed against the PFP Stockholders individually for money damages in the event that the PAC Parties' Losses exceed the Share Holdback or arise after the termination of the Escrow Agreement in accordance with its terms, unless a claim is notified to the Escrow Agent and the PFP Representative during the term of the Escrow Agreement. Notwithstanding the foregoing, the limitations set forth in this Section 10.4 shall not apply to PAC Parties Losses or PFP Stockholders' Losses that occur as a result of (i) the breach by any of the PFP Stockholders of a covenant contained in this Agreement, or (ii) fraudulent misrepresentations or acts.
Limitation on Indemnity Obligation. The obligations to indemnify, defend and hold harmless set forth above in this Section 12.0 (Indemnity) will not apply to the extent the Indemnified Party was responsible for giving rise to the matter upon which the claim or action for indemnification is based and will not apply to the extent to which the Indemnified Party fails to (i) promptly notify the Indemnifying Party of any matters in respect of which the indemnity may apply and of which the Indemnified Party has knowledge (provided, however, that any delay in providing such notice will not relieve the Indemnifying Party of its obligations under this Section 12.0 to the extent such delay does not materially prejudice the Indemnifying Party’s defense of any such claim or action); (ii) gives the Indemnifying Party the full opportunity to control the response thereto and the defense thereof, including any agreement relating to the settlement thereof, provided, however, that the Indemnifying Party will not settle any such claim or action without the prior written consent of the Indemnified Party (which will not be unreasonably withheld or delayed); and (iii) cooperates with the Indemnifying Party, at the Indemnifying Party’s cost and expense, in the defense or settlement thereof. The Indemnified Party may participate, at its own expense, in such defense and in any settlement discussions directly or through counsel of its choice on a monitoring, non-controlling basis.

Limitation on Indemnity Obligation. Notwithstanding anything in this agreement to the contrary, indemnification sought under Article 8 shall be satisfied solely from the Indemnification Escrowed Funds. The Parent and the Surviving Corporation shall not be entitled to indemnification hereunder with respect to an Indemnifiable Claim (as defined below) (or, if more than one Indemnifiable Claim is asserted, with respect to all Indemnifiable Claims) until the aggregate amount of Losses with respect to such Indemnifiable Claim or Claims exceeds $10,000, in which event the indemnity provided for in this Article 8 shall be with respect to the entire amount of Losses without regard to the limitations set forth above, and further provided, that prior to termination of the Indemnification Escrow, the Parent and the Surviving Corporation shall be entitled to indemnification with respect to all Indemnifiable Claims, regardless of the aggregate amount of such Claims.
Limitation on Indemnity Obligation. In seeking indemnification for Damages under Section 11.2, the Keynote Indemnified Persons shall first exercise their remedies with respect to the Escrow Consideration and any other assets deposited in escrow pursuant to the terms of Section 2.2 and Article 11 hereof and then, solely with respect to Member Damages and Special Damages may seek recovery of such Damages against any other assets of the Digital Content Member. Each Digital Content Member agrees that claims for indemnification against such person under this Article 11 may be satisfied by the forfeiture of such person's Per Membership Interest Consideration as provided for in this Article 11 and that no Keynote Indemnified Person shall have any obligation to exercise its remedies against any other assets of such Digital Content Member prior to exercising them against such Per Membership Interest Consideration.
