Examples of Applicable Survival Period in a sentence
Notwithstanding the foregoing, if a Claim Notice is properly delivered in good faith under this Article IX with respect to any representation and warranty, covenant or agreement prior to the expiration of the Applicable Survival Period, the claim with respect to such representation, warranty, covenant or agreement shall continue indefinitely until such claim is finally resolved pursuant to this Article IX.
All claims for indemnification shall be made no later than ninety (90) days after the Applicable Survival Period.
Following expiration of the Applicable Survival Period with respect to the representation and warranty, covenant or agreement, as applicable, no claim for indemnification may be made or pursued (except as expressly permitted by the preceding sentence) with respect to such representation and warranty, covenant or agreement.
In the event notice of claim for indemnification under Sections 9.3 or 9.4 is not given within ninety (90) days after the Applicable Survival Period, such claim shall be null and void and no remedy, relief or recourse will be available to the indemnified party with respect to such claim.
If a Notice of Claim for indemnification under Section 9.02 or Section 9.04 is given within such sixty (60) day period, the Applicable Survival Period, the representation or warranty, covenant or agreement that is the subject of such indemnification claim (whether or not formal legal action shall have been commenced based upon such claim) shall survive with respect to such claim until such claim is finally resolved.
