Limited Right to Resell. Subject to this Reseller Agreement, we grant you a one-time, non-exclusive, non-transferable right to resell the Products and Services specified in the Order to the end user specified in the Order, solely for use by such end user in accordance with the applicable Product Agreement. This right to resell does not apply to any other end user or any other Product or Service (including without limitation any sale to any related party, organization or affiliate, or to any subsequent, additional or renewal sale to the same party).
Limited Right to Resell. Subject to this Reseller Agreement, CYPHER LEARNING grants Reseller a limited right to offer the use of its product, the cloud-hosted NEO, hereinafter referred to as (“Software”), and to resell paid Software subscriptions, hereinafter referred to as ("Subscriptions") to its customers which are end users of the Software, hereinafter referred to as ("Customers"), solely for use by such end users in accordance with the Terms of Service.
Limited Right to Resell. 2.1.1. Business Associate hereby agrees and acknowledges and Company hereby grants the nontransferable, non-exclusive, non-licensable, revocable right to resell the Products to the End user during the term of this Agreement.

Subject to this Reseller Agreement, we grant you a non-exclusive and non-transferable right to resell TestOptimal end-user licenses to the end user within your assigned non-exclusive reseller territory where you have physical presence during the terms of this Reseller Agreement, solely for use by such end user in accordance with TestOptimal License Agreement. You agree to use trial/demo licenses, if you were issued such licenses, for the demonstration of TestOptimal products and services only and not to use these licenses for your own benefits.
