LINKS; PERFORMANCE STANDARDS. The Company will be responsible for ensuring that each link embedded within a Promotion takes the User to the appropriate area within the Company Site or the Co-Branded Site (other than links to the Health Channel for which Snap will be responsible), and that such sites function with reasonable reliability and in a commercially reasonable manner throughout the Term. In particular, the Company agrees that the Company Site and the Co-Branded Site will comply with the performance standards set forth in EXHIBIT C attached hereto throughout the Term. Any failure by the Company to comply with this Section will be deemed to be a material breach of this Agreement. In the event of such breach, Snap shall be deemed to have delivered Impressions and Click Thrus required to be delivered pursuant to this Agreement on a daily, straight-line, pro-rata basis for the duration of such breach.

LINKS; PERFORMANCE STANDARDS. The Company will be responsible for ensuring that each link embedded within a Promotion takes the User to the appropriate area within the Company Sites or the Co-Branded Site (other than links to the Career Center and the Employment Classifieds for which NBCi will be responsible), and that such sites function with reasonable reliability and in a commercially reasonable manner throughout the Term. The Company agrees that the Company Sites and the Co-Branded Site will comply with the performance standards set forth in Exhibit B attached hereto throughout the Term. Any failure by the Company to comply with this Section will be deemed to be a material breach of this Agreement. In the event of such breach, then for each day thereafter, (i) [***] Impressions to be delivered pursuant to this Agreement will be deemed to have been delivered by NBCi; and (ii) [***] Click Thrus, calculated as [***] will be deemed to have been delivered by NBCi for the duration of such breach. During the Term, NBCi will maintain NBCi as a top twenty general purpose portal site as measured by Media Metrix page views, unique users, or other reasonable metric.

  • Performance Standards The Custodian shall use its best efforts to perform its duties hereunder in accordance with the standards set forth in Schedule C hereto. Schedule C may be amended from time to time as agreed to by the Custodian and the Trustees of the Fund.

  • Performance Standard Consultant represents and warrants that Services will be performed in a thorough and professional manner, consistent with high professional and industry standards by individuals with the requisite training, background, experience, technical knowledge and skills to perform Services.

  • KEY PERFORMANCE INDICATORS (a) The Custodian and the Funds may from time to time agree to document the manner in which they expect to deliver and receive the services contemplated by this Agreement. The parties agree that any such key performance indicators (hereinafter referred to as “KPIs” or, individually as a “KPI”) shall be agreed upon in writing by the parties and shall be reflected in one or more schedules to this Agreement. The Custodian and the Funds acknowledge that any failure to perform in accordance with KPIs shall not in and of itself be considered a breach of contract that gives rise to contractual or other remedies provided that such failure may be a breach giving rise to contractual or other remedies if it is persistent and not remedied after consultation. Nothing in this Section 11 shall modify any party’s applicable standard of care under this Agreement; nor shall any meeting or discussion among the parties regarding KPIs be construed to prevent a party from pursuing any remedy otherwise available to it pursuant to this Agreement.

  • Performance Reporting For Performance Reporting (including After-Tax Performance Reporting), Ultimus charges each Portfolio a fee of $200 per month.

  • Performance Metrics The “Performance Metrics” for the Performance Period are: (i) the System Average Interruption Frequency Index (Major Events Excluded) (“XXXXX”); (ii) Arizona Public Service Company’s customer to employee improvement ratio; (iii) the OSHA rate (All Incident Injury Rate); (iv) nuclear capacity factor; and (v) coal capacity factor.

  • Performance Requirements To receive the Monthly Capacity Payment in Section 8.1.2.1, Seller shall provide the Contract Capacity in each Peak Month for all on-peak hours as such peak hours are defined in Edison's Tariff Schedule No. TOU-8 on file with the Commission, except that Seller is entitled to a 20% allowance for Forced Outages for each Peak Month. Seller shall not be subject to such performance requirements for the remaining hours of the year.

  • Service Levels (1) DTI shall perform the Services in accordance with the service levels (the "Service Levels") as may be agreed to from time to time in writing by DTI and the Funds (the "Service Level Agreement").   • Historical Performance Information To the extent agreed upon by the parties, the Sub-Advisor will provide the Trust with historical performance information on similarly managed investment companies or for other accounts to be included in the Prospectus or for any other uses permitted by applicable law.
