Loans to be Serviced. Great Lakes and the Lender agree that Great Lakes shall service all Loans covered by the Act that are made or purchased by the Lender, that are guaranteed by Great Lakes Higher Education Guaranty Corporation (“GLHEGC” or the “Guarantor”) and that are submitted to Great Lakes by the Lender and accepted by Great Lakes for servicing.
Loans to be Serviced. (a) Upon the terms and subject to the conditions of the Agreement and the Servicing Agreements, Servicer agrees to provide the Services for the Loans that Navient places with Servicer. Servicer shall service all private student loan and HEAL and FFELP loan portfolios serviced by Navient on the student loan servicing platform of Fiserv as of the Service Start Date, including Xxxxxxx and NaviRefi loan portfolios, except for any other Loans that require third party consent for Servicer to act as servicer until such time that Navient obtains the consent required for Servicer to act as servicer. With respect to Xxxxxxx and NaviRefi loan portfolios, the Navient Entities will provide the customer portal and customer service call center, and Servicer will be responsible for all other activities. In addition, Servicer shall also respond to reasonable inquiries regarding historical files in Servicer’s custody as part of the Services. In connection with providing the Services, Xxxxxxx agrees to use commercially reasonable efforts to furnish copies of the records in Navient’s possession relating to the Loans which are necessary to enable Servicer to perform the Services. All records, data processing media and other information submitted by Navient with respect to the Loans shall be in their current format. Servicer shall be under no duty or obligation to inquire into the nature or authenticity of the transactions represented by the records or other data submitted by Navient or its agent for processing. Navient shall be responsible for compliance with Laws as they relate to the origination and disbursement of the Loans converted to the Servicer System. Navient will forward to Servicer promptly any documentation or notice of activity that may occur with regard to a Loan then being serviced by Servicer that Navient receives. Navient will deliver or cause to be delivered to Servicer promptly any material written borrower communications documentation related to the Services that it receives at any time after the Service Start Date with respect to any Loan then being serviced by Servicer, including letters, customer complaints, notices of death or disability, notifications of bankruptcy filings, including court filings and adversary petitions, adjudications of bankruptcy and like documents, and forms requesting a deferment, forbearance or loan cancellation.

Subservicer and Capital Corp. agree that Subservicer shall service all Loans covered by the Act which are purchased and owned by Capital Corp. or any Affiliate and which are guaranteed by [NAME OF GUARANTY AGENCY] (the "Guarantor"), and which are submitted to Subservicer by Capital Corp. and accepted by Subservicer for servicing.
