Maintenance and Compliance. The Corporation will (i) maintain its corporate existence, rights, powers and privileges in good standing, (ii) comply in all material respects with all laws and governmental regulations and restrictions applicable to its business or properties, (iii) keep records and books of account and maintain a system of internal accounting controls in accordance with generally accepted accounting principles and in compliance with Section 13(b)(2) of the Exchange Act, and (iv) retain independent public accountants of recognized national standing as auditors of the Corporation's annual financial statements.
Maintenance and Compliance. The Borrower will, and will cause each Subsidiary to, (i) maintain its corporate existence and rights and its current business operations; (ii) observe and comply (to the extent necessary so that any failure will not materially and adversely affect the business of such Person) with all valid existing and future laws, statutes, codes, acts, ordinances, orders, judgments, decrees, injunctions, rules, regulations, certificates, franchises, permits, licenses, authorizations, directions and requirements (including without limitation applicable statutes, regulations, orders and restrictions relating to environmental standards or controls or to energy regulations) of all federal, state, county, municipal and other governments, departments, commissions, boards, courts, authorities, officials and officers, domestic or foreign; and (iii) maintain its properties (and any property leased by or consigned to it or held under title retention or conditional sales contracts) in generally good and workable condition at all times and make all repairs, replacements, additions, betterments and improvements to its properties to the extent necessary so that any failure will not materially and adversely affect the business of such Person.

The Borrower will, and will cause each Restricted Subsidiary to, (i) maintain its corporate or partnership existence and rights and its current business operations; (ii) observe and comply (to the extent necessary so that any failure will not materially and adversely affect the business of such Person) with all valid existing and future laws, statutes, codes, acts, ordinances, orders, judgments, decrees, injunctions, rules, regulations, certificates, franchises, permits, licenses, authorizations, directions and requirements (including without limitation applicable statutes, regulations, orders and restrictions relating to environmental standards or controls or to energy regulations) of all federal, state, county, municipal and other governments, departments, commissions, boards, courts, authorities, officials and officers, domestic or foreign; and (iii) maintain its properties (and any property leased by or consigned to it or held under title retention or conditional sales contracts) in generally good and workable condition at all times and make all repairs, replacements, additions, betterments and improvements to its properties to the extent necessary; in each case however, except where the failure of which would not cause a Material Adverse Effect.

(44) MAINTENANCE The development agreement shall require the Developer to maintain the following improvements to the satisfaction of the City for the periods below listed, from the date of issuance of relevant Substantial or Construction Completion Certificates: Watermains 1 year

Maintenance and Compliance. The Contractor must maintain the Contractor's Items during the term of this Agreement in first-class operating condition and the Contractor must make any necessary replacements or repairs promptly in order so to do. To attain this objective the Contractor shall use airfreight or air charter Services, or both, when and if necessary. Without prejudice to this obligation, the Company shall endeavour to avail the Contractor of the transport Services utilised by the Company provided that the Contractor, at the discretion of the Company, shall reimburse the Company for the costs of transport provided by the Company.
Maintenance and Compliance. You will keep the Space in the same condition in which you find it, reasonable wear and tear excepted. You will also comply with the terms of the respective Leases, copies of which we have previously provided to you. You understand that if we have granted you rights in this letter which we are not entitled to grant under one or more of the Leases (other than making the Space available to you notwithstanding contrary provisions in the Leases), such rights are deemed void.
Maintenance and Compliance. The Corporation will and will cause its subsidiaries to (i) maintain its corporate existence, rights, powers and privileges in good standing, (ii) pay promptly when due all taxes, assessments and governmental charges properly imposed on it, except where the same are contested in good faith, (iii) maintain its properties in workable condition and repair, (iv) comply in all material respects with all laws and governmental regulations and restrictions applicable to its business or properties, (v) maintain with financially sound insurers such insurance coverage against liability, fire and other risks as is reasonably prudent and customary for companies similarly situated, (vi) keep records and books of account and maintain a system of internal accounting controls in accordance with generally accepted accounting principles and in compliance with Section 13(b)(2) of the Securities Exchange Act of 1934, (vii) retain independent public accountants of recognized national standing as auditors of the Corporation's annual financial statements, (viii) comply in all material respects with ERISA, and (ix) comply in all material respects with all applicable Environmental Regulations.
Maintenance and Compliance. Once the services have been installed, the Developer is responsible for the maintenance/warranty of the works for a specified length of time to ensure that they meet the Village’s standards before they become the responsibility of the Village. This section outlines the length of time that the warranty extends for the main types of services. The obligation covers the construction and materials; however, it does not include such maintenance items as snow clearing.
