Maintenance and Use of Right of Way. Grantor shall, at its sole cost, maintain, repair and, when necessary, replace the Right of Way in a good and xxxxxxx like condition so as to comply with all minimum standards of the County of Monterey and any other applicable governmental regulations. Grantee shall not place, construct or plant any structure or planting or other material which may damage, block access, ingress or egress, or otherwise interfere with or undermine the integrity or effectiveness of the Right of Way. Notwithstanding the forgoing, Grantee shall be permitted to construct, install and maintain a gate across the Right of Way, restricting access to the Right of Way and Property, provided Grantor shall have unrestricted access through such gate and Grantee shall provide Grantor with a key or combination to any lock placed upon such gate.

Software Maintenance and Support pricing will increase for renewal terms by an amount not to exceed 5% of the prior year term fee, provided that increases associated with additional software license purchases, if any, will be incorporated into the base for the purpose of calculation of each annual increase.
