Maintenance Reinstatement. Subscriber may choose to not renew Maintenance. If, after any lapse, Subscriber desires to resume Maintenance; then, after examination, SPGCI may choose to reinstate Maintenance under its then current terms, conditions and pricing, provided that Subscriber pays the Fees for such reinstatement. Reinstatement Fees will be calculated for the entire period of lapse in Maintenance and Support based on the current pricing, plus a reactivation fee.

Maintenance Reinstatement. Client may choose to not renew Maintenance. If, after any lapse, Client desires to obtain Maintenance again, Provider, in its sole discretion and after any examination deemed necessary by Provider may choose to reinstate Maintenance under its then current terms, conditions and pricing, provided that Client pays the Fees for such reinstatement (“Reinstatement Fee”). Reinstatement Fees will be equal to the Fees that would have been due had Client continued to pay for Maintenance during the period of laps.

If Client discovers any suspected Error(s) in the Software Product; then, before calling the Sphera help desk, Client must analyze the suspected Error(s) to determine if the Error is the result of Client’s software, hardware, misuse, or misunderstanding of the Software Product. If the problem reported by Client is directly related to unauthorized alterations of the Software Product by Client, then Sphera may charge for the professional service time expended by Xxxxxx, at Xxxxxx’s then current time and material rates, in addition to reasonable out-of-pocket Expenses; or at Client’s option; Sphera will be released from Maintenance obligations for the modified portion of the Software Product.
Maintenance Reinstatement. If a VAR initiates a maintenance contract for a license that has not been continuously covered by warranty and/or a maintenance contract, a reinstatement fee [***] will be charged.

Costs incurred by Lessor in providing such custodian services shall be included within "operating costs".

  • Support and Maintenance Where Licensee purchases support and/or maintenance services, Licensee’s initial support and/or maintenance term will begin upon delivery to Licensee of the Licensed Software and continue for one (1) year thereafter (or the length of the term if less than a year for any subscription/term license) unless otherwise specified in the applicable annual support and/or maintenance agreement, Product Order, or other written agreement executed between Licensor and Licensee. Where Licensee purchases support and/or maintenance for any Licensed Software, Licensee hereby agrees that it shall purchase such support and/or maintenance services for all of Licensee’s licensed units of such Licensed Software product. Support and/or maintenance services provided by Licensor will be subject to Licensor’s then current applicable standard annual support and/or maintenance agreement unless otherwise agreed by the parties in writing.

  • Routine Maintenance (i) CRC shall be responsible for Routine Maintenance when necessary or desirable to maintain the Shared Assets in a safe operating condition, and to permit and facilitate (A) the performance by CRC of its obligations pursuant to this Agreement, and (B) the use of Shared Assets by the Operators in accordance with this Agreement. (ii) CSXT or NSR, directly or through their respective affiliates, may perform the work which CRC performed prior to the date of this Agreement when (A) CRC does not possess the skills needed for such work, (B) CRC lacks the necessary employees to do such work in a timely fashion, or (C) CRC does not possess the equipment needed to do such work. CRC and the party performing the work shall agree to a reasonable fee for such work prior to performance. CRC, CSXT and NSR may agree to have additional work performed either by CSXT, NSR or their affiliates.
