Major Packages. The sole exception to the obligation for Supplier to obtain the license rights specified in Section 9.4.3(a) (other than the exception stated in the last sentence of Section 9.4.3(a))for any Supplier Third Party Technical Element will be any Supplier Third Party Technical Element that is a Major Package and for which Supplier is unable, despite using commercially reasonable efforts, to obtain for Hawaiian Telcom the license rights specified in the preceding sentence on commercially reasonable terms. In such case, Supplier will comply with the following. (i) Supplier shall notify Hawaiian Telcom in writing of its inability to grant Hawaiian Telcom such a license and of the cost and viability of any other Major Package that can perform the requisite functions and with respect to which Supplier has the ability to grant such a license. Such notice Master Services Agreement 43 February 4, 2005 Hawaiian Telcom/Supplier CONFIDENTIAL shall contain the proposed Third Party Vendor’s then current terms and conditions, if any, for making such Major Package available to Hawaiian Telcom after such expiration or termination, as applicable. Hawaiian Telcom will respond to the proposals contained in such notice by directing Supplier as to the choice of the Major Package and related license rights to be utilized, and Supplier will proceed accordingly (it being understood that Hawaiian Telcom will bear any incremental Out-of-Pocket Expenses incurred with respect to such rights). (ii) Supplier will cause the Third Party licensor of the Major Package selected by Hawaiian Telcom under Section 9.4.3(b)(i) above to grant to Hawaiian Telcom, upon first using any such Major Package in providing the Services, a license on the same terms and conditions as specified in Section 9.4.3(a) with the sole exception that the duration of such license will be for the duration of the Term of this Agreement and the Disengagement Assistance Period.

  • ODUF Packing Specifications 6.3.1 A pack will contain a minimum of one message record or a maximum of 99,999 message records plus a pack header record and a pack trailer record. One transmission can contain a maximum of 99 packs and a minimum of one pack.

CLIENT has purchased one or more of the following packages (the “Package”) as Full Season, Single Game or Bundled Packages from TAILGATE GUYS as reflected in the order placed with TAILGATE GUYS by CLIENT and incorporated herein by reference upon payment therefore: (i) Varsity (ii) Letterman (iii) All-American (iv) Club b. The Tailgating Services provided by TAILGATE GUYS pursuant to this Agreement may, at the option of CLIENT and subject to availability, include a media package comprised of a television, stand, connection to a satellite, connection to a receiver, and power source (a “Media Package”). CLIENT acknowledges and agrees that TAILGATE GUYS has no control over television broadcasts and shall not be held accountable for any channel “blackouts” caused by contract disputes or any lack of service due to inclement weather or other availability issues. In the event of services issues resulting from setup or technical matters not covered in the aforementioned terms of this paragraph, any refund for services is limited to either the amount separately invoiced or the portion of a tailgate package price related to media package(s) based on TAILGATE GUYS’s current, standard rates for similar service as sold separately to the general public.

  • Alternative Work Schedules Employees may request alternative work schedules such as a nine (9) day - 80 hour two week schedule or a four (4) day - 40 hour week schedule. Management will respond to an employee's request within 15 calendar days. Any changes from existing work schedules will be based on the needs of the service as determined by Management. Employees covered by the Fair Labor Standards Act will not be placed on alternate work schedules that mandate the payment of overtime under the Act.

  • Summary Sales Data The Contractor shall submit quarterly sales reports directly to NASPO ValuePoint using the NASPO ValuePoint Quarterly Sales/Administrative Fee Reporting Tool found at xxxx://xxx.xxxxx.xxx/WNCPO/Calculator.aspx. Any/all sales made under this Master Agreement shall be reported as cumulative totals by state. Even if Contractor experiences zero sales during a calendar quarter, a report is still required. Reports shall be due no later than thirty (30) days following the end of the calendar quarter (as specified in the reporting tool).

  • Alternate Work Schedules Workweeks and work shifts of different numbers of hours may be established for overtime-eligible employees by the Employer in order to meet business and customer service needs, as long as the alternate work schedules meet federal and state law. When there is a holiday, employees may be required to switch from their alternate work schedules to regular work schedules.
