Manager’s Representative Clause Samples
Manager’s Representative. Manager shall appoint and hire as its representative on site the General Manager who shall serve in the capacity generally described below:
A. General Manager of the Facility with primary authority over all other employees, and who will make, or delegate to an appropriate staff-member responsibility and authority for the making of all day-to-day business decisions required at the Facility. The General Manager shall have ultimate authority over such delegated tasks and shall adequately supervise and monitor same to secure the successful exercise of such authority by his staff.
Manager’s Representative. Manager shall hereby appoint a qualified company representative as the person employed by Manager with whom Owner shall interact with respect to the performance by Manager of its duties hereunder (the “Manager’s Representative”). Manager shall have the right from time to time during the Term of this Agreement to replace the Manager’s Representative with the approval of Owner, which approval shall not be unreasonably withheld. Nothing herein shall be construed as imposing any personal liability on the Manager’s Representative with respect to the acts or omissions of Manager under this Agreement. Nothing in this provision shall impair or limit Owner’s right to inspect or observe operations at the Facility.
Manager’s Representative. The Owner, or subsequent agent hired by Owner, agrees not to enter into any employment negotiations with, or hire any of the Manager's employees (excludes on-site Project staff) during the term of this Agreement and for a period of one (1) year after the expiration of this Agreement without the prior written consent of Manager.
Manager’s Representative. The Manager shall appoint as its representative for the Services a person (the Manager’s Representative) who shall be the sole point of contact for the Parent and shall have full power and authority to act and receive any approvals or instructions from the Owners on behalf of the Manager in connection with the operation, maintenance and management of the Facilities and the provision of the Services.
Manager’s Representative. The Manager shall appoint a representative to represent the Manager in all its business and dealings with the Owners' Committee and such representative shall act as a secretary to the Owners' Committee who shall have the right to attend all meetings of the Owners' Committee but not to vote thereat and who shall cause a record of the persons present at the meetings of the Owners' Committee and the proceedings thereof to be kept.
Manager’s Representative. The Manager's initial representative shall be ▇▇▇▇▇▇ ▇▇▇▇▇▇ (hereinafter referred to as the “Representative”). The Manager’s Representative shall be the only representatives or employees of Manager authorized to act as the Owner’s agents. The Manager shall not relocate or substitute the Representative without the Owner’s consent, which shall not be unreasonably withheld, and shall not designate a substitute Representative without the Owner’s approval, which approval shall not be unreasonably withheld.
Manager’s Representative. 22.3.1. Each Manager hereby appoints the Managers’ Representative as its authorized representative for receipt of Notices under or in connection with this Agreement.
22.3.2. Notwithstanding the foregoing, if the Managers’ Representative becomes a Leaver and ceases to be a Dorna Group employee or director, if so requested by B▇▇▇▇, a new Managers’ Representative shall be appointed by decision of a majority of the Managers (excluding any Leaver’s shares), and failing such appointment within five (5) Business Days, Bidco shall be entitled to appoint the then CEO as the Managers’ Representative.
Manager’s Representative. Notwithstanding anything contained in this Agreement to the contrary, where approval or consent or other action of Manager is required, such approval shall mean the written approval of a Manager’s Representative, who, as between Manager and Resort Owner, shall be provided with all requisite corporate authority to act on behalf of Manager for purposes of this Agreement.
Manager’s Representative. On the Commencement Date of this Agreement, Manager shall assign ▇▇. ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ of Clearwater, Florida, the CEO of the Manager ("▇▇. ▇▇▇▇▇▇▇▇▇"), to be Manager's representative responsible for the delivery of the management services. Manager retains the right, in its sole discretion, to replace ▇▇. ▇▇▇▇▇▇▇▇▇ and assign another employee to provide the management services.
Manager’s Representative.
23.1 Subject to Clause 23.2, the Managers and MIL irrevocably appoint GB as the Managers' Representative with effect from the date of this Agreement. This appointment shall automatically terminate if he ceases to be an employee of a member of the Group or has given or received notice to terminate his appointment as an employee of a member of the Group.
23.2 Managers who are employed by a member of the Group and who hold not less than 50 per cent of the total number of B Ordinary Shares in issue from time to time which are held by employees of the Group (who have not received or given notice to terminate their employment) shall be entitled by notice in writing to the Investor and the Company to terminate the appointment of any Managers' Representative and / or to appoint a new Manager, who is and for so long as he remains an employee (not in his notice period) or director of a member of the Group as the replacement Managers' Representative.
23.3 The Managers' Representative shall be entitled to carry out the functions expressly conferred on him by this Agreement and the Articles. Any decision, act, consent or instruction of the Managers' Representative in accordance with the terms of this Agreement shall constitute a decision, act, consent or instruction of all of the Managers and MIL and shall be final, binding and conclusive upon each of the Managers and MIL and on their respective estates, executors, personal representatives and successors.
23.4 Each of the Managers and MIL hereby undertakes to ratify everything which the Managers' Representative shall do or purport to do by virtue of his appointment under the terms of this Agreement and the other Parties (including the Investor) may rely, without enquiry, upon any action of the Managers' Representative as the act of the Managers and MIL in all matters referred to in this Agreement as being carried out by the Managers' Representative.
23.5 The Managers' Representative shall not be liable to any Party for any act or omission in connection with the performance by him of his duties, function or role as Managers' Representative pursuant to this Agreement except in the case of fraud or dishonesty.
