The Management Services. For the duration of the Order Term INAP will provide to Customer the Management Services as described on the INAP Website and otherwise as communicated to Customer during the signup process. INAP may modify the Management Services as provided in the Agreement.
The Management Services. 10.1 The Licensee shall provide during the Term, at its own expense in a good efficient and timely manner the following services (“the Management Services”):
(a) Collection of Green Fees from all persons who may use the Course (other than annual membership subscriptions paid by members of the Club, which subscriptions shall be collected by the Council) in accordance with the scale of charges laid down by the Council from time to time.
(b) Banking of Green Fees collected to the Council’s nominated bank account, free of any deductions or set off, on a daily basis.
(c) Policing of the Course to ensure that:
(i) The Course is used only during the hours of daylight.
(ii) All users of the Course have paid Green Fees or are financial members of the Club.
(iii) Course users conduct themselves in a manner which will not cause offence or injury to any other Course user or to green keeping staff or to any member of the public, or cause damage to the Course.
10.2 Without limiting the generality of clause 10.1, in the performance of the Management Services the Licensee shall:
(a) Generally promote the Course, so as to maximise Course use and the generation of Green Fee revenues, in conjunction with Council and in accordance with the draft annual plans and budgets prepared and agreed under clause 10.2(p). (For the avoidance of doubt advertising costs incurred in accordance with an agreed annual plan and budget shall be borne by the Council.)
(b) Operate a daily booking sheet in which is recorded the names of all persons, whether Green Fee payers or Club members, using the Course and make the same available to the Council for inspection or copying (at the Council’s expense) at any time and from time to time during the Hours of Operation.
(c) Operate and maintain a Green Fees honesty box in accordance with any reasonable written directions given by the Council from time to time.
(d) Keep such statistical and financial information in relation to course use, in a form approved by the Council, as the Council may from time to time direct and provide that information to the Council when requested to do so.
(e) Ensure that gates to the Course are locked and unlocked at the times nominated by the Council and that when the Course is not in use all buildings are securely locked, and any alarms on the Premises are activated and regularly monitored once activated.
(f) Ensure that any breaches of security of which the Licensee is aware are promptly reported to the Council, the Club a...
The Management Services. (a) Strategic consultancy service: StarGlory Enterprise Management will provide to Huayin Biotechnology guidance and advice on, amongst other things, (i) overall corporate strategy and implementation plans; (ii) marketing, customer relationship maintenance, customer network management and public relationship management; (iii) business and projects management; and
(iv) market trends and related industrial information;
The Management Services. 2.1. The Management Company shall provide the Company with the services of an active Chairman of the Board of Directors (hereinafter: the "Management Services"). In the framework of the said Management Service, the Management Company shall also provide Management Services to the Company’s subsidiary companies and/or private companies.
2.2. The Company shall receive the Management Services exclusively through Management Company employee, Xx. Xxxxxxxxx Xxxxxx (hereinafter: Management Company Employee). The Management Company Employee shall maintain full continuity of rights upon transfer to employment in the Management Company, as though the Management Company were the employer of the Management Company Employee commencing on the date of the Management Company Employee’s employment in the Company, and commencing on the date of the transfer, the Management Company shall be deemed the employer of the Management Company Employee and shall assume full, sole and exclusive liability for upholding the Management Company Employer’s rights as an employee. The Company shall bear no liability vis-a-vis the Management Company Employee with regard to any payment resulting from the employment relationship between the Management Company Employee and the Management Company.
The Management Services. 3.1 Initial Letting Sign Up Inventory and Renewals Identify prospective tenants and carry all reasonable checks including an affordability check and interviewing them to ensure as far as possible that they are suitable tenants for the Property. To prepare the Assured Shorthold Tenancy Agreement and hold a detailed sign up meeting to go through the tenancy conditions with the tenant. Carry out a full property inspection and photographic condition and inventory check (Inventory Report) at the beginning and the end of the tenancy. The Inventory Report to include all carpets, curtains and other items in the property. Arrange for the Inventory Report to be signed by both the Landlord and the tenant. Where the tenancy is renewed to the same tenant (or any person associated with the tenant) Magna Carta Lettings will prepare the new Assured Shorthold Tenancy Agreement.
The Management Services. 4.1 The Management Services shall be provided by the Management Company to Xxxxxx through Perry, who shall serve as active chairman on the board of directors of Xxxxxx and as chairman of the executive committee of the board of directors of Xxxxxx, and who by virtue of his position shall be responsible inter alia for the following:
4.1.1 Outlining of strategy; planning of objectives and targets for Xxxxxx'x activity in all its operating spheres, including those implemented through companies of the Xxxxxx Group.
4.1.2 All the activities which are within the purview of the chairman of the company's board of directors in accordance with any law or in accordance with the company's articles or in accordance with the company's resolutions from time to time.
4.1.3 Supervision of the implementation and fulfillment of Xxxxxx'x objectives and targets.
4.1.4 Development of business ties in Israel and abroad on Xxxxxx'x behalf.
4.2 The Management Services shall be provided personally by Perry.
4.3 The Management Company warrants that for the provision of the Management Services, Perry shall devote of his time and energy to the tasks, purposes and duties enumerated above and shall act faithfully for the promotion of Xxxxxx'x business, on no less a scope than two days per week (40% position).
4.4 To eliminate doubt, it is hereby clarified that the Management Company and Perry shall be entitled to engage in additional occupations, provided that any additional position and/or post filled by Perry is conditioned on receipt of Xxxxxx'x prior authorization in writing. Xxxxxx shall not object to the filling of such additional position and/or post, unless it involves a conflict of interests with the Company or could affect Peri's contribution to Xxxxxx and/or its business and/or the fulfillment of the undertakings (of the Management Company and Perry) per this Contract. Xxxxxx hereby confirms that it is aware that Peri serves in the posts listed in APPENDIX A hereto.
The Management Services. General Maintenance:
1: Maintenance, repair decoration (if appropriate) cleansing and when necessary renewal of the structure exterior and interior of the Amenity Areas and maintenance and repair of all services roadways and facilities which are available to the Lessees of the Holiday Homes within the Estate or leading to or from the Estate.
2: The annual treatment of all exposed woodwork on the exterior of the Dwelling with an appropriate preservative. Furniture Maintenance:
3: Maintenance repair and where necessary replacement of the furniture furnishings fittings fixtures equipment and utensils in or about or pertaining to the Amenity Areas
4: Insurance of the Holiday Homes (but not their contents) against loss or damage by fire and such other risks against which the Lessor or the Management Company shall from time to time reasonably deem desirable to insure in the full reinstatement value thereof and such other insurances (including public liability insurance) as the Lessor or the Management Company shall from time to time reasonably consider it desirable to effect in relation to the Estate the buildings on the Estate (other than the Holiday Homes) and the contents thereof and all other moveable and immovable property of the Lessor or the Management Company situated within the Estate.
5: Payment of all outgoings incurred in respect of the estate including rates and other charges or impositions whether of a recurring nature or otherwise.
6: Maintenance of all facilities provided which shall include the swimming pool, tennis court and car park
7: Carrying out of all works and acts (other than those which are the responsibility of the Lessee under paragraph 9 of Part 1 of the Third Schedule hereto) which are required to be done in order to comply with all statutory provisions or the directions or notices of any governmental local or public authority.
8: Provision of drainage and an adequate supply of electricity and water to each Holiday Home.
The Management Services. The Manager shall be responsible for the provision of the following services to the company and the Related Companies;
