Managing Member Approval. Other than as provided for in ARTICLE X, the submission of any action of the Company or a Series to Members for their consideration shall first be approved by the Managing Member.
Managing Member Approval. Managing Member hereby acknowledges and consents to the Transfer of the Transferred Interests in all respects for all purposes under the LLC Agreement and any other applicable agreements.
Managing Member Approval. Other than as provided for in Article X, the submission of any action of the Company or a Series to Members for their consideration shall first be approved by the Managing Member; provided that the Managing Member must call a meeting of Series Members in the sixth and seventh years following the Acquisition Date of the associated Artwork to vote on its sale or disposition. The Managing Member shall have full power and authority concerning the manner of conducting any meeting of the Series Members, including the determination of Persons entitled to vote, the existence of a quorum, the satisfaction of the requirements of this Article 13, the conduct of voting, the validity and effect of any proxies and the determination of any controversies, votes or challenges arising in connection with or during the meeting or voting. The Managing Member shall designate a Person to take the minutes of any meeting. All minutes shall be kept with the records of the Company.
Managing Member Approval. The Managing Member’s consent to the: (a) transfer of the Sale Membership Interests to Purchaser (or its designee); and (b) admission of the Purchaser (or its designee) as a member in the Company (the “Managing Member Approval”) shall be a condition precedent to Purchaser’s and Seller’s obligation to close the transaction under this Agreement. The Managing Member Approval shall be in form and substance acceptable to Purchaser and substantially in the form attached hereto as Exhibit C. Seller shall use commercially reasonable efforts to obtain and deliver to Purchaser the Managing Member Approval.
Managing Member Approval. The managing members of Summer have duly adopted resolutions approving and declaring advisable this Agreement and the transactions contemplated hereby, such approvals having been made in accordance with the Texas Limited Liability Company Act and Summer’s Operating Agreement, which resolutions have not been modified, supplemented or rescinded and remain in full force and effect, and each of the Summer Members is a party to and has approved this Agreement.
Managing Member Approval. The Managing Members of King Capital shall have approved this Agreement and the transactions contemplated herein.
Managing Member Approval. The Managing Members of Grant, LLC shall have approved this Agreement and the transactions contemplated herein.
Managing Member Approval. This Agreement shall have been approved by the Managing Member of Wholelife LLC or its equivalent.
Managing Member Approval. (a) Pursuant to Section 8.1(a) of the LLC Agreement, the Company’s Managing Member (such term as defined in the LLC Agreement) hereby consents to the transactions contemplated by this Agreement.
(b) Pursuant to Section 9.01(h) of the Second Amended and Restated Limited Liability Company Agreement of the Holder, dated as of December 7, 2021 (the “Holder LLC Agreement”), the Holder’s Managing Member (such term as defined in the Holder LLC Agreement) hereby consents to the transactions contemplated by this Agreement.
Managing Member Approval. Pursuant to Section 8.1(a) of the LLC Agreement, the Company’s Managing Member (such term as defined in the LLC Agreement) hereby consents to the transactions contemplated by this Agreement.
