(For Use for For-Profit Research Purpose) RECIPIENT Recipient Scientist (Principal Investigator): Recipient Organization: Address: This Material Transfer Agreement sets forth the terms and conditions under which RIKEN BioResource Research Center (hereinafter referred to as ‘RIKEN BRC’) will provide with the RECIPIENT, and the RECIPIENT will receive, the biological material specified as (RIKEN BRC No. ) and its derivatives (hereinafter referred to as the ‘BIOLOGICAL RESOURCE’) in response to the RECIPIENT’s request, and with which the RECIPIENT scientist and organization agree before the RECIPIENT receives the BIOLOGICAL RESOURCE:
Material Transfer Agreement. The Material Transfer Agreement executed by the parties shall remain in effect.
Material Transfer Agreement. A true and complete copy of the Material Transfer Agreement (“MTA”) with University of Colorado Health Sciences Center (“UCHSC”) is attached hereto as Exhibit 3. Licensee shall provide copies of any revisions or modifications of such MTA and any new material transfer agreements or research agreements with UCHSC or University of Colorado within ten (10) days of the execution of such agreements.
Material Transfer Agreement. This Agreement supersedes and replaces that certain Material Transfer Agreement by and between the Parties dated as of [**], as amended (the “Material Transfer Agreement”). All Materials (as such term is defined in the Material Transfer Agreement) delivered to a Party by the other Party under the Material Transfer Agreement shall be deemed Party Materials of the respective providing Party hereunder and shall be so subject to the terms of this Agreement.

Xxxxxx Xxxxxx, a Xxxxxx Xxxxxx Medical Institute investigator at Yale University, and Dr. Xxxxx Xxxxx (“the Yale Investigators”), YALE will make the following available to your company, Rib-X Pharmaceuticals, Inc. and its affiliates. (“RECIPIENT”):
Material Transfer Agreement. THIS MATERIAL TRANSFER AGREEMENT ("Agreement") is made and entered into as of May 10th 2016 (the "Effective Date"), by and between DYADIC INTERNATIONAL (USA), INC., a Florida corporation, with its principal place of business at 000 xxxxxxxxxxxx Xxxxxx Xxxxx, Xxxxx 000, Xxxxxxx, XX 00000 ("Dyadic") and the undersigned party ("Recipient").
Material Transfer Agreement. A Material Transfer Agreement (MTA) governs the transfer of biological and other tangible research materials (e.g., cell lines, cultures, bacteria, nucleotides, proteins, transgenic animals, pharmaceuticals, seeds, and chemicals) between the University and a third party for research or non-commercial purposes. An MTA establishes the permitted uses of the materials, protects proprietary material, and establishes the rights granted to each party with regard to the use of the material and any intellectual property developed using the materials. 300.30 Memorandum of Understanding A Memorandum of Understanding (MOU) is intended to be an agreement between the University and a third party that serves to document expectations or intentions in the parties’ dealings, such as to explore the possibility of a future relationship or engagement between the parties. Additional agreements may be required to specify any rights or obligations between the parties that exceed the scope of the MOU. Examples of obligations that exceed the scope of an MOU include: • committing resources, such as effort, space, or in-kind support; • providing rights or benefits to another party such as rights to reports, intellectual property, or data; • incurring risk, such as indemnification of another party; and • specific deliverables promised. 300.40 Non-Disclosure Agreement A Non-Disclosure Agreement (NDA) is an agreement between the University and a third party that is intended to prohibit the disclosure of proprietary or confidential information. The University or the individual employee must seek an NDA before disclosing University information that may be potentially patentable, has unique value to the University or otherwise requires protection from dissemination for other reasons, such as Personally Identifiable Information (PII). Any individual who is responsible for disclosing or receiving confidential information under the agreement must act in accordance with the terms of the NDA. In addition to an authorized University signatory, some NDAs also require the individual signatures of faculty members or other employees who may be disclosing or receiving confidential information in acknowledgement of their obligations under the NDA.
Material Transfer Agreement. Pursuant to the License Agreement (herein after, the “License Agreement”) to which this Materials Transfer Agreement is attached (hereinafter, the “MTA”), WSU may provide LICENSEE with tangible research materials relating to the Licensed Patents. In the event of any such transfer of materials, LICENSEE agrees as follows:

Material Transfer Agreement. (MTA) - It is common for Principal Investigators (PIs) to be asked to sign a Material Transfer Agreement (MTA) before receiving proprietary materials. MTAs are often required before the receipt of material or before University material is shared with external collaborators. MTAs may have language prohibiting the use of material that could restrict the rights of the University, or your right to publish, so it is important these be submitted to OADRGS for revision and execution.
