MEETINGS AND DECISONS. 2.1 The Project Steering Board shall meet monthly in the first quarter of this Agreement and quarterly thereafter. Additional meetings may be convened if a Representative requests such a meeting.
MEETINGS AND DECISONS. 2.1 The Project Board shall meet as and when necessary but in any event at least quarterly. 2.2 Only a Representative may call a meeting of the Project Board. The Project Board may propose decisions based on Representatives from any two Authorities being present, though any such proposals may only be actioned through an endorsement, in writing, by the third Authority. Only by the collective agreement of all three Authorities may a decision be reached through the Project Board. 2.3 No business shall be conducted at any meeting of the Project Board unless a quorum of at least two Authorities are present at the meeting. 2.4 Any meetings shall be held within the West Glamorgan region at a location and time determined by the Project Board. 2.5 A Representative may appoint an authorised deputy to attend any Project Board meeting on his or her behalf. Where practicable the Project Board should be made aware of such substitution. 2.6 Any meeting of the Project Board may be summoned on the giving of not less than 5 working daysnotice to all other parties and such meeting must be held within 3 working days following expiration of the notice. 2.7 Each Representative (or an authorised representative) will use their best endeavours to reach a consensus which contributes to the success of the Regional Advocacy Service. 2.8 Any decision of the Project Board must be passed by a unanimous vote. 2.9 Representatives may invite one or more guest officers, including any member of the Operations Board from the Authorities to attend meetings of the Project Board. Guest officers would attend in a non-voting capacity to provide information and expertise when required. 2.10 The minutes of the proceedings of every meeting of the Project Board shall be drawn up by the Host Authority. Copies shall be circulated to all those in attendance within 2 weeks of the date of such meeting.

  • Meetings and Voting Meetings of Partners shall be at such times and locations as the General Partner shall determine in its sole discretion. The General Partner shall provide notice to the Limited Partners of any meetings of Partners in any manner that it deems reasonable and appropriate under the circumstances. The holders of a majority of the outstanding Voting Interests for which a meeting has been called (including Voting Interests owned by the General Partner) represented in person or by proxy shall constitute a quorum at a meeting of Partners unless any such action by the Partners requires approval by holders of a greater percentage of the outstanding Voting Interests, in which case the quorum shall be such greater percentage of the outstanding Voting Interests. At any meeting of the Partners duly called and held in accordance with this Agreement at which a quorum is present, the act of Partners holding Voting Interests that, in the aggregate, represent a majority of the Voting Interests of those present in person or by proxy at such meeting shall be deemed to constitute the act of all Partners, unless a greater or different percentage is required with respect to such action under the provisions of this Agreement, in which case the act of the Partners holding Voting Interests that in the aggregate represent at least such greater or different percentage shall be required; provided, however, that if, as a matter of Applicable Law or amendment to this Agreement, approval by plurality vote of Partners is required to approve any action, no minimum quorum shall be required. The Partners present at a duly called or held meeting at which a quorum is present may continue to transact business until adjournment, notwithstanding the withdrawal of enough Partners to leave less than a quorum, if any action taken (other than adjournment) is approved by Partners holding the required Voting Interests specified in this Agreement. In the absence of a quorum, any meeting of Partners may be adjourned from time to time by the affirmative vote of Partners with at least a majority of the Voting Interests entitled to vote at such meeting (including Voting Interests owned by the General Partner) represented either in person or by proxy, but no other business may be transacted.

  • Negotiation Meetings The first bargaining session shall be held at a mutually agreed time and date within fourteen (14) days of the request. All proposals by the parties shall be written and submitted to the representative(s) of both teams at the first meeting. No additional items shall be submitted by either party following the first meeting, unless mutually agreed by the parties. Additional ground rules, if any, will be established at the first meeting. Bargaining sessions shall not be scheduled during the regular teacher workday. Time and dates as used in this Article may be changed by mutual agreement.

  • Open Meetings (a) All scheduled meetings of the Employer shall be open meetings, except in those cases where personnel, financial or other matters require that the meeting be considered confidential. (b) In those cases where a meeting is designated confidential, the Union shall be provided with a reason for such designation.   • Joint Meetings 10.1(a) Should either party desire to discuss with the other any matter affecting generally the relationship of the parties, a meeting of Union and management representatives shall be arranged upon request of either party. Such meeting shall take place at a time mutually convenient to both parties. Any use of Company time for attendance at such meetings shall be arranged in advance by mutual agreement. 10.1(b) This Article is intended to provide a free avenue of communication between the Union and the Company, and suggestions, complaints, or other matters may be presented by either party, provided that neither party shall be required to discuss any item brought up by the other party nor be bound to act upon any item presented.
