Meetings, Quorum; Voting. Meetings of the Members, for any purpose or purposes whatsoever, may be called at any time by any Members. The Members may vote, approve a matter or take any action permitted to be taken by the Members pursuant to this Article III, by the vote of two thirds of the Members at a meeting, in person or by proxy, or without a meeting by written consent or otherwise. For any meeting of Members, the presence in person or by proxy of Members owning two thirds of the Membership Interests entitled to vote at the time of the action taken constitutes a quorum for the transaction of business.

Meetings, Quorum; Voting. (a) Meetings of the Board, regular or special, may be held at any place within or without the State of Delaware. Managers may participate in a meeting of the Board by means of conference telephone or similar communications equipment by means of which all persons participating in the meeting can hear each other, and participation in a meeting by such means shall constitute presence in person at such meeting. The Board may fix times and places for regular meetings of the Board and no notice of such meetings need be given. A special meeting of the Board shall be held whenever called by any Manager then in office, at such time and place as shall be specified in the notice or waiver thereof. Notice of each special meeting and the purpose thereof shall be given by the person calling the meeting to each Manager personally or by faxing and telephoning the same not later than three Business Days before the meeting. (b) Managers having the ability to approve a certain action pursuant to the voting requirements of Section 8.3(c) shall constitute a quorum of the Board for the purposes of taking such action. Any action required or permitted to be taken at any meeting of the Board may be taken without a meeting if Managers having the ability to approve a certain action pursuant to the voting requirements of Section 8.3(c) to take such action on behalf of the Company consent thereto in writing; provided that any request for such a written consent is simultaneously delivered to all Managers. (c) Except as otherwise expressly provided by this Agreement, any proposed vote, consent or action by the Board shall require the favorable vote, consent or approval of a majority of the Managers. (d) Each Manager entitled to vote at a meeting of the Board may authorize another person or persons to act for him or her by proxy. Each proxy shall be signed by the Manager giving such proxy.
Meetings, Quorum; Voting. (a) Except as otherwise provided herein, any action taken by the Trustees shall be approved by a majority vote of the Trustees in attendance at a duly convened meeting of the Board of Trustees at which a quorum is present. The Trustees may meet in-person or by teleconference or similar electronic conference means so long as all persons can communicate with each other during the meeting. (b) A quorum of the Board of Trustees shall consist of two members of the Board, provided that one is an Employer Trustee and one is a Union Trustee. Deputy Trustees shall not count for quorum purposes. No action binding upon the Fund or upon any third party may be taken at any meeting at which a quorum is not present. Participation by one or more Trustees or Deputy Trustees at a meeting by means of teleconference or similar electronic conference when the Trustees are otherwise meeting in-person shall constitute presence at the meeting for all purposes of Article IV so long as all persons can communicate with each other during the meeting. (c) Each Trustee shall have one vote on all matters; provided, however, that if there is an unequal number of Employer Trustees and Union Trustees present at any meeting, the group of Trustees being the lesser in number shall be entitled to cast votes equal in number to the votes of the group having the greater number at any such meeting. (d) The Chairperson and Secretary of the Fund may jointly call a meeting of the Trustees at any time by giving at least seven days written notice of the time and place thereof to the remaining Trustees. Meetings of the Trustees may also be held at any time without such notice if all of the Trustees consent to the meeting. (e) With respect to matters concerning changes in any benefit formula, no action shall be taken at any meeting of the Trustees unless all Trustees (including a duly authorized Deputy Trustee acting for an absent Trustee) shall be present and vote in favor of such action, or, if not present, vote by proxy in favor of such action. (f) Action by the Trustees (or subcommittees) may also be taken by them without a meeting by written poll; provided, however, that in such case there shall be unanimous written concurrence by all of the Trustees (or subcommittee members) then appointed.   • Quorum; Voting A majority of the members of any Committee of the Trustees shall constitute a quorum for the transaction of business, and any action of such a Committee may be taken at a meeting by a vote of a majority of the members present (a quorum being present).

  • Meetings and Voting Meetings of Partners shall be at such times and locations as the General Partner shall determine in its sole discretion. The General Partner shall provide notice to the Limited Partners of any meetings of Partners in any manner that it deems reasonable and appropriate under the circumstances. The holders of a majority of the outstanding Voting Interests for which a meeting has been called (including Voting Interests owned by the General Partner) represented in person or by proxy shall constitute a quorum at a meeting of Partners unless any such action by the Partners requires approval by holders of a greater percentage of the outstanding Voting Interests, in which case the quorum shall be such greater percentage of the outstanding Voting Interests. At any meeting of the Partners duly called and held in accordance with this Agreement at which a quorum is present, the act of Partners holding Voting Interests that, in the aggregate, represent a majority of the Voting Interests of those present in person or by proxy at such meeting shall be deemed to constitute the act of all Partners, unless a greater or different percentage is required with respect to such action under the provisions of this Agreement, in which case the act of the Partners holding Voting Interests that in the aggregate represent at least such greater or different percentage shall be required; provided, however, that if, as a matter of Applicable Law or amendment to this Agreement, approval by plurality vote of Partners is required to approve any action, no minimum quorum shall be required. The Partners present at a duly called or held meeting at which a quorum is present may continue to transact business until adjournment, notwithstanding the withdrawal of enough Partners to leave less than a quorum, if any action taken (other than adjournment) is approved by Partners holding the required Voting Interests specified in this Agreement. In the absence of a quorum, any meeting of Partners may be adjourned from time to time by the affirmative vote of Partners with at least a majority of the Voting Interests entitled to vote at such meeting (including Voting Interests owned by the General Partner) represented either in person or by proxy, but no other business may be transacted.

  • Meeting of Shareholders (a) Promptly after the date hereof, the Company shall take all action necessary in accordance with the GBCC and its Articles of Incorporation and by-laws to convene a meeting of shareholders ("Company Shareholders Meeting") to be held as promptly as practicable after the S-4 Registration Statement is declared effective by the SEC for the purposes of voting upon this Agreement and the Merger. Neither the Board of Directors of the Company nor any committee thereof shall, except as required by their fiduciary duties as determined in good faith (in reliance on the opinion of its outside counsel), withdraw or modify, or propose to withdraw or modify, in a manner adverse to Parent, the approval or recommendation by the Board of Directors of the Company or such committee of this Agreement or the Merger. Nothing contained in this Section 6.3(a) shall prohibit the Company from making any disclosure to the Company's shareholders if, in the good faith judgment of the Board of Directors of the Company (in reliance upon the opinion of its outside counsel), such disclosure is necessary for the Board of Directors to comply with its fiduciary duties under applicable law. The Company shall deliver to Parent, concurrent with the execution and delivery of this Agreement, the Voting Agreement executed by Szlam. (b) If necessary, Parent shall take all action necessary in accordance with the DGCL and its Certificate of Incorporation and by-laws to convene a meeting of stockholders (the "Parent Stockholders Meeting") to be held as promptly as practicable after the S-4 Registration Statement is declared effective by the SEC for the purposes of voting upon this Agreement and the Merger. Neither the Board of Directors of Parent nor any committee thereof shall, except as required by their fiduciary duties as determined in good faith (in reliance on the opinion of its outside counsel), withdraw or modify, or propose to withdraw or modify, in a manner adverse to the Company, the approval or recommendation by the Board of Directors of Parent or such committee of this Agreement or the Merger.   • Voting at Meetings Questions arising at any meeting of directors are to be decided by a majority of votes and, in the case of an equality of votes, the chair of the meeting does not have a second or casting vote.

  • Special Meetings; Notice Special meetings of the Board for any purpose may be called at any time by the President or by any two Managers. Special meetings of the Board shall be held upon four days’ written notice or 48 hours notice given personally or by telephone, e-mail, facsimile or other similar means of communication. Any such written notice shall be addressed or delivered to each Manager at such Manager’s address as it is shown upon the records of the Company or may have been given to the Company by the Manager for purposes of notice or, if such address is not shown on records or is not readily ascertainable, at the place in which the meetings of the Board are regularly held.   • TAC Meetings The goal of this subtask is for the TAC to provide strategic guidance for the project by participating in regular meetings, which may be held via teleconference. • Discuss the TAC meeting schedule with the CAM at the Kick-off meeting. Determine the number and location of meetings (in-person and via teleconference) in consultation with the CAM. • Prepare a TAC Meeting Schedule that will be presented to the TAC members during recruiting.   • Special Meetings Special meetings of the Trustees may be held at any time and at any place designated in the call of the meeting when called by the President or the Treasurer or by two or more Trustees, sufficient notice thereof being given to each Trustee by the Secretary or an Assistant Secretary or by the officer or the Trustees calling the meeting.

  • Special Meeting Special meetings of the stockholders may be called only by such persons and only in such manner as set forth in the Certificate of Incorporation. No business may be transacted at any special meeting of stockholders other than the business specified in the notice of such meeting. The Board may postpone, reschedule or cancel any previously scheduled special meeting of stockholders.

At any meeting of the Limited Partners duly called and held in accordance with this Agreement at which a quorum is present, the act of Limited Partners holding Outstanding Units that in the aggregate represent a majority of the Outstanding Units entitled to vote and be present in person or by proxy at such meeting shall be deemed to constitute the act of all Limited Partners, unless a greater or different percentage is required with respect to such action under the provisions of this Agreement, in which case the act of the Limited Partners holding Outstanding Units that in the aggregate represent at least such greater or different percentage shall be required. The Limited Partners present at a duly called or held meeting at which a quorum is present may continue to transact business until adjournment, notwithstanding the withdrawal of enough Limited Partners to leave less than a quorum, if any action taken (other than adjournment) is approved by the required percentage of Outstanding Units specified in this Agreement (including Outstanding Units deemed owned by the General Partner). In the absence of a quorum any meeting of Limited Partners may be adjourned from time to time by the affirmative vote of holders of at least a majority of the Outstanding Units entitled to vote at such meeting (including Outstanding Units deemed owned by the General Partner) represented either in person or by proxy, but no other business may be transacted, except as provided in Section 13.7.
