MERGER/AMALGAMATION. 30.1 Should the Company merge, amalgamate, or combine any of its operations or functions with another company or companies, the Company agrees to give the Union as much notice as practically possible prior to any intent by the Company to implement the above. 30.2 In the event there is a merger with another company or companies, in which the covered employees therein are represented by another Union, the representation rights and the collective agreement and the status quo of Local 636 IBEW members shall be maintained in respect of those members until a final determination is made, either under the current Ontario Labour Relations Act, or by the successor organization, as it relates to the proper representation of the combined group.
MERGER/AMALGAMATION. 30.01 In the event the Employer becomes merged or amalgamated with another employer which has employees represented by another Union, the provisions of this Agreement shall continue in force until the earlier of the following events: (a) the successor union is determined by the Labour Relations Board and a new collective agreement is negotiated to cover the employees in this bargaining unit, or (b) the date of expiry of the Collective Agreement indicated by the Labour Relations Board under the authority given to it under the Trade Union Act.
MERGER/AMALGAMATION. Conversion, Consolidation or Succession to Business of Trustee. Any corporation or national banking association into which the Trustee may be merged or amalgamated or converted or with which it may be consolidated, or any corporation or national banking association resulting from any merger, amalgamation, conversion or consolidation to which the Trustee shall be a party, or any corporation or national banking association succeeding to all or substantially all the corporate trust business of the Trustee, shall be the successor of the Trustee hereunder, provided that such corporation or national banking association shall be qualified under Section 310(b) of the Trust Indenture Act of 1939 and eligible under the provisions of Section 6.9, without the execution or filing of any paper or any further act on the part of any of the parties hereto, anything herein to the contrary notwithstanding. In case at the time such successor to the Trustee shall succeed to the trusts created by this Indenture any of the Securities of any series shall have been authenticated but not delivered, any such successor to the Trustee may adopt the certificate of authentication of any predecessor Trustee and deliver such Securities so authenticated; and, in case at that time any of the Securities of any series shall not have been authenticated, any successor to the Trustee may authenticate such Securities either in the name of any predecessor hereunder or in the name of the successor Trustee; and in all such cases such certificate shall have the full force which it is anywhere in the Securities of such series or in this Indenture provided that the certificate of the Trustee shall have; provided, that the right to adopt the certificate of authentication of any predecessor Trustee or to authenticate Securities of any series in the name of any predecessor Trustee shall apply only to its successor or successors by merger, amalgamation, conversion or consolidation.

MERGER/AMALGAMATION. In the event of the Company being at any time during the continuance of this Agreement wound up for the purpose and with the object of transferring its business to another Company, the Company doth hereby bind itself to make it one of the terms and stipulations of its Agreement for such transfer of its property and business to such other Company that such Company shall appoint Xx. Xxxxx Xxxx as the Managing Director of such Company with the like powers and authorities to him as aforesaid and on the same terms and conditions as to remuneration or otherwise as are herein contained AND IT IS HEREBY AGREED AND DECLARED that save and except with such conditions and stipulations as one of the terms of the sale and transfer thereof the Company will not sell and transfer its business to the Company.
MERGER/AMALGAMATION. The Company shall not and shall not permit any of its subsidiaries to merge, amalgamate or enter into any other business combination transaction with any other person pursuant to statutory procedure or otherwise without prior written consent of the Holder.

(b) The Borrower and its Subsidiaries (either individually or collectively and whether in one transaction or series of related transactions) will not sell or otherwise dispose of all or substantially all of the assets of the Borrower and its Subsidiaries, taken as a whole.

  • Consolidation, Merger or Sale In case of any consolidation of the Company with, or merger of the Company into any other corporation, or in case of any sale or conveyance of all or substantially all of the assets of the Company other than in connection with a plan of complete liquidation of the Company, then as a condition of such consolidation, merger or sale or conveyance, adequate provision will be made whereby the holder of this Warrant will have the right to acquire and receive upon exercise of this Warrant in lieu of the shares of Common Stock immediately theretofore acquirable upon the exercise of this Warrant, such shares of stock, securities or assets as may be issued or payable with respect to or in exchange for the number of shares of Common Stock immediately theretofore acquirable and receivable upon exercise of this Warrant had such consolidation, merger or sale or conveyance not taken place. In any such case, the Company will make appropriate provision to insure that the provisions of this Paragraph 4 hereof will thereafter be applicable as nearly as may be in relation to any shares of stock or securities thereafter deliverable upon the exercise of this Warrant. The Company will not effect any consolidation, merger or sale or conveyance unless prior to the consummation thereof, the successor corporation (if other than the Company) assumes by written instrument the obligations under this Paragraph 4 and the obligations to deliver to the holder of this Warrant such shares of stock, securities or assets as, in accordance with the foregoing provisions, the holder may be entitled to acquire.

  • Consolidation, Merger or Sale of Assets Nothing in this Agreement shall preclude the Company from consolidating or merging into or with, or transferring all or substantially all of its assets to, another corporation which assumes this Agreement, and all obligations of the Company hereunder, in writing. In case of any such consolidation, merger, sale, lease or conveyance and upon any such assumption by the successor corporation, such successor corporation shall succeed to and be substituted for the Issuer, with the same effect as if it had been named herein as the Issuer, and the predecessor corporation, except in the event of a conveyance by way of lease, shall be relieved of any further obligation under the Notes and the Agency Agreement or, as the case may be, the TCCI Note Agency Agreement or the TMCC Note Agency Agreement.

In any such case, appropriate adjustment (as determined in good faith by the Board of Directors of the successor corporation) shall be made in the application of the provisions of this Warrant with respect to the rights and interests of the Holder after such Reorganization to the end that the provisions of this Warrant shall be applicable after the event, as near as reasonably may be, in relation to any shares or other securities deliverable after that event upon the exercise of this Warrant.
