Electronically transferred funds are required to qualify for the rebates provided herein. An EFT transfer for the payment of any rebate by Labatt will be issued by the [***] of the month following that in which the rebate accrued.

Method of Invoicing and Payment. The purchase price for each shipment of Product Lot shall be paid by Santen in United Sates dollars within forty-five (45) days of receipt of an invoice therefor from Warnxx-Xxxxxxx, xxich invoice shall be provided when Warnxx-Xxxxxxx'x xxxlity assurance department approves the Product Lot concerned. Santen shall not be obligated to pay the applicable invoice within such forty-five (45) day period if the batch record for the applicable Product Lot is rejected or is being held pending further review or investigation, prior to release by Santen. The batch records must be provided to Santen at the same time that Warnxx-Xxxxxxx'x xxxlity assurance department has approved the Product Lot concerned, pursuant to Warnxx-Xxxxxxx'x Xxxm 1880. The batch records shall be accepted as accurate unless Santen notifies Warnxx-Xxxxxxx xx writing within forty-five (45) days after the delivery of such batch records that Santen has determined that either the Product was not Processed in accordance with the MBR or that the batch records are not complete. If Santen rejects the Product due to a deficient batch record within the foregoing time period, Santen shall provide Warnxx-Xxxxxxx xxxh written notice of such rejection and setting forth the basis for such rejection. If Warnxx-Xxxxxxx xxxls to correct the deficiency within ten (10) days of the notice or if Santen rejects the correction because the batch record remains deficient, Santen, may at its option and in its sole discretion, either reject the Product Lot in its entirety or request that Warnxx-Xxxxxxx xxxrect the deficiency. If Santen rejects the Product Lot, Warnxx-Xxxxxxx xxxll reimburse Santen for one hundred percent (100%) of Santen's cost of the BPS contained in such Product, subject to the limitation in Section 15.3.

  • Invoicing and Payment All payments to be made to Lessor by Lessee hereunder shall be paid in the manner set forth in this Paragraph 5. Lessor will pay to suppliers, employees, contractors and government entities all expenses related to the operations of the Aircraft hereunder in the ordinary course. As to each flight operated hereunder, Lessor shall provide to Lessee an invoice for the charges specified in Paragraph 4 of this Agreement (plus domestic or international air transportation Excise Taxes, as applicable, imposed by the Internal Revenue Code and collected by Lessor), such invoice to be issued within thirty (30) days after the completion of each such flight. Lessee shall pay Lessor the full amount of such invoice upon receipt of the invoice. In the event Lessor has not received a supplier invoice for reimbursable charges relating to such flight prior to such invoicing, Lessor shall issue a supplemental invoice for such charges to Lessee within thirty (30) days of the date of receipt of the supplier invoice and Lessee shall pay such supplemental invoice amount upon receipt thereof. All such invoices shall separately itemize the expenses in items (1) through (9) of paragraph 4(a) for each flight included in that invoice. Delinquent payments, defined as payments received more than thirty (30) days after invoice, to Lessor by Lessee hereunder shall bear interest at the rate of ten percent (10%) per annum from the due date until the date of payment. Lessee shall further pay all costs incurred by Lessor in collecting any amounts due from Lessee pursuant to the provisions of this Paragraph 5 after delinquency, including court costs and reasonably attorneys’ fees.

  • Invoicing and Payments Each Month during the term of this Agreement, LESSOR shall invoice CUSTOMER for all amounts owed by CUSTOMER to LESSOR hereunder and CUSTOMER shall pay to LESSOR the amounts due no later than ten (10) Days after CUSTOMER'S receipt of invoice therefore. If the Day on which any payment is due is not a Business Day, then the relevant payment shall be due upon the immediately preceding Business Day, except if such payment due date is a Sunday or Monday, then the relevant payment shall be due upon the immediately succeeding Business Day. If a good faith dispute arises as to the amount payable in any statement, the amount not in dispute shall be paid. If CUSTOMER elects to withhold any payment otherwise due as a consequence of a good faith dispute, CUSTOMER shall provide LESSOR with written notice of its reasons for withholding payment. The parties hereto agree to use all reasonable efforts to resolve any such disputes in a timely manner. If it is subsequently determine, whether by mutual agreement of the parties or otherwise, that CUSTOMER is required to pay all or any portion of the disputed amounts to LESSOR, in addition to paying over such amounts, CUSTOMER also shall pay interest accrued on such amounts at the Base Rate from the original due date until paid in full.

Interest accruing on each LIBOR Loan is payable in arrears on each of the following dates or events: (1) the last day of each applicable LIBOR Interest Period; (2) if the LIBOR Interest Period is longer than three (3) months, on each three-month anniversary of the commencement date of such LIBOR Interest Period; (3) the prepayment of such Loan (or portion thereof), to the extent accrued on the principal prepaid; and (4) the applicable Term Loan Maturity Date or the Revolver Expiration Date, as the case may be, whether by acceleration or otherwise, with respect to the principal to be repaid.
