MFN Pricing. For each CONTRACT YEAR, LICENSEE will not sell the LICENSED PRODUCT to any THIRD PARTY for less than the price LICENSEE offers to OWNER for the same CONTRACT YEAR (“MFN PRICING”), subject to the production volumes of Paragraph 4.6 (OWNER Option for Capacity).
MFN Pricing. In no case shall Alliance Prices offered by the Supplying Party be higher than the lowest rates the Supplying Party **** a third party. Each quarter (or more frequently if the Parties agree) the Supplying Party will review its pricing to the Supplied Party hereunder and will certify to the Supplied Party that it is in compliance with its obligation to offer MFN Pricing to the Supplied Party, and will to the maximum extent permitted by law and contractual agreements describe to the Supplied Party the pricing under its contracts with third parties.
MFN Pricing. The Operating Companies will offer all Covad Products to SBC, the SBC Affiliates and SBC Agents at prices and upon terms and conditions that are at least as favorable to SBC as those that the Operating Companies provide to other Covad resellers who resell comparable Covad Products at comparable volumes ("MFN Pricing"). MFN Pricing shall only apply to newly installed Covad Products. If Covad provides newly installed Covad Products to another Covad reseller who resells comparable Covad Products at comparable volumes at a price more favorable to such reseller (a "More Favorable Price"), then, beginning on the date that Covad starts providing such other Covad reseller with the More Favorable Price (the "MFN Trigger Date"), Covad shall begin offering SBC the same price for newly installed Covad Products. At any MFN Trigger Date, the price for all Customer Circuits installed prior to such MFN Trigger Date shall be adjusted according to the Weighted Average Method. Under this pricing methodology, SBC will only have two prices at any MFN Trigger Date: (a) a price for existing Customer Circuits and (b) a price for newly installed Customer Circuits going forward. For the purpose of calculating MFN Pricing, SBC's volume shall be the aggregate of all sales of all Covad Products by SBC, its Affiliates and the SBC Agents. Covad shall provide a notice of updated prices to SBC to reflect current MFN Pricing within 15 days after such MFN Trigger Date.
MFN Pricing. Covad will offer Covad Products to SBC (including DSL transport and IP connectivity in the case only of the DSL plus IP product) at prices and upon terms and conditions that are at least as favorable to SBC as those that Covad offers to other purchasers of comparable products whose volumes of purchases from Covad are comparable to or less than SBC's ("MFN Pricing"). Covad's obligation to provide MFN Pricing to SBC shall apply to any special or promotional offering by Covad.

  • TIPS Pricing Vendor agrees and understands that for each TIPS Contract that it holds, Vendor submitted, agreed to, and received TIPS’ approval for specific pricing, discounts, and other pricing terms and incentives which make up Vendor’s TIPS Pricing for that TIPS Contract (“TIPS Pricing”). Vendor confirms that Vendor will not add the TIPS Administration Fee as a charge or line-item in a TIPS Sale. Vendor hereby certifies that Vendor shall only offer goods and services through this TIPS Contract if those goods and services are included in or added to Vendor’s TIPS Pricing and approved by TIPS. TIPS reserves the right to review Vendor’s pricing update requests as specifically as line-item by line-item to determine compliance. However, Vendor contractually agrees that all submitted pricing updates shall be within the original terms of the Vendor’s TIPS Pricing (scope, proposed discounts, price increase limitations, and other pricing terms and incentives originally proposed by Vendor) such that TIPS may accept Vendors price increase requests as submitted without additional vetting at TIPS discretion. Any pricing quoted by Vendor to a TIPS Member or on a TIPS Quote shall never exceed Vendor’s TIPS Pricing for any good or service offered through TIPS. TIPS Pricing price increases and modifications, if permitted, will be honored according to the terms of the solicitation and Vendor’s proposal, incorporated herein by reference.

  • Unit Pricing If required by the Bid Specifications, the Bidder should insert the price per unit specified and the price extensions in decimals, not to exceed four places for each item unless otherwise specified, in the Bid. In the event of a discrepancy between the unit price and the extension, the unit price shall govern unless, in the sole judgment of the Commissioner, such unit pricing is obviously erroneous.

  • JOC Pricing of Itemized List of Means Non-Prepriced Items” based on the information herein.
