(ii) the Revenue Sharing Payment for the fourth quarter of 2017 is due, if Mogo’s aggregate Adjusted Quarterly Revenue for 2017 is below $100 million. If Postmedia elects to terminate this Agreement under this clause 7.2(c), the Termination Date shall be the last day of the second quarter in the year in which such notice is given and, on the Termination Date, all commitments of Postmedia with respect to the Services to be provided in respect of the period after the Termination Date shall cease, Revenue Sharing Payments to Postmedia will cease in respect of the quarter following the quarter in which the Termination Date falls, and all subsequent quarters and all Mogo Warrants which have not vested on or prior to the Termination Date will expire.
