Monthly Activity Reports. The ADRC shall submit encounter data to the Department’s data warehouse monthly. The ADRC shall submit its encounter data to the Department electronically no later than the 20th of the month following the month for which the report is prepared (e.g. the January Encounter Report must be submitted by February 20th), or the first business day thereafter when the 20th falls on a weekend or holiday.

Monthly Activity Reports. Virgin will provide to the Authority, within 5 Business Days after the close of each month, a report giving: (a) the number of launches/takeoffs and landings; (b) the number of Astronauts enplaning at the Spaceport; and (c) other information that may be necessary to calculate and assess User Fees at the Spaceport (the “Monthly Activity Report”). The Monthly Activity Report will be in a form mutually agreed to by the Authority, Virgin and, as applicable, other Tenants. Failure to provide the Monthly Activity Report to the Authority will entitle the Authority to develop its own estimate of activity using the prior month’s activity, if any, and any difference between the amounts estimated by the Authority and actual activity levels will be incorporated as credits or deficits in the following months.

Airline shall prepare and file with XXXX, by the tenth (10th) day following each calendar month of the Term hereof, a completed Activity Report on the XXXX-designated form, which is attached hereto as Exhibit A or other XXXX-approved form, showing the activity of Airline at the Airport for the preceding calendar month. 2. With respect to each and every monthly Activity Report filing and payment required herein: (a) The acceptance by XXXX of any such payment shall not preclude XXXX from questioning the accuracy of Airline’s Activity Report upon which the payment is based. XXXX, as provided for in this Agreement, shall have the right, upon reasonable notice, to examine that portion of the books and records of Airline relevant for the purpose of ascertaining that the amounts paid or to be paid to XXXX are correct. (b) In the event that Airline fails to remit to XXXX any monthly Activity Report as required herein, XXXX may compute Rents as though the activity statistics upon which said Rents are based were the same as during Airline’s highest month in XXXX’x immediately preceding Fiscal Year or in the current Fiscal Year, whichever is higher, or upon the basis of such other estimate thereof as XXXX, in its discretion, deems reasonable. XXXX will issue an invoice to Airline for such estimated Rents. After Airline remits the required, but delinquent, payment and Activity Report to XXXX, XXXX shall recalculate the Rents for the month in question based upon the Airline’s Activity Report. If the actual Rents are higher than those invoiced by XXXX, Airline shall be liable for any deficiencies in payments; payments for said deficiencies shall be deemed due as of the date such Rents were due and payable. (c) If the actual Rents are less than those Rents invoiced by XXXX to Airline, XXXX shall either apply such overpayment as a credit against a subsequent amount of Rents due from Airline or, at the election of XXXX, issue a refund; provided, however, Airline shall not be entitled to any credit for late fees on payments of such estimated amounts.

Failure to provide the Monthly Activity Report to the Authority will entitle the Authority to develop its own estimate of activity.

Monthly Activity Reports. On or before the 10th of each month, Airline will provide landing, passenger, and cargo statistics on a per flight basis in an electronic format approved by City. The approved format at the time of execution of this Agreement, shall be in Microsoft Excel inclusive of the information shown and, in the format, shown in Exhibit I, which City may modify from time to time with at least 30 days written notice to Airline.
Monthly Activity Reports. On or before the tenth (10th) day of each month, Lessee shall provide Lessor an accurate report of Transaction activity at the Airport certifying the number of Transactions made during the preceding month, and submit Transaction Rent, if such is due, as provided in Article III, Paragraph A. Lessor reserves the right to make a special audit of Lessee's books and records of Transactions at the premises. If a discrepancy is found in the number of Transactions, an adjustment shall promptly be made in the Transaction Rent payment and Lessee shall pay Lessor's costs with respect to such audit. Lessor shall have the right to audit Lessee's books and records for a period of six (6) months after receipt of each monthly Transaction report.

The ADRC shall submit required data elements and fields as specified in the ADRC Activity Report document provided by the Department. The Aging and Disability Resource Center shall submit its encounter data to the Department electronically no later than the 14th of the month following the month for which the report is prepared (e.g. the January 2016 Encounter Report must be submitted by February 14th).
