Mutual Representation and Warranty. Each party represents and warrants to the other party that all of its employees, agents, representatives and members of its work force, whose services may be used to fulfill obligations under the Underlying Agreement, are or will be appropriately informed of the terms of this Addendum and are under legal obligation to fully comply with all provisions of this Addendum.

(a) it has the authority and right to enter into and perform this Agreement;
(b) this Agreement is a legal and valid obligation binding upon it; and
(c) its execution, delivery and performance of this Agreement will not (i) conflict in any material fashion with the terms of any other agreement or instrument to which it is or becomes a Party or by which it is or becomes bound, (ii) obligate either Party to violate or breach any of its obligations with Third Parties, including obligations of confidentiality, or (iii) violate any law or regulation of any court, governmental body or administrative or other agency having authority over it.

Business Associate and Covered Entity each represents and warrants to the other that all of its employees, agents, representatives, and members of its workforce, whose services may be used to fulfill obligations under this Business Associate Agreement and/or the Services Agreement, are or shall be appropriately informed of the terms of this Business Associate Agreement and are under legal obligation to fully comply with all provisions of this Business Associate Agreement.
