Mutual Representation and Warranty. Each party represents and warrants to the other party that all of its employees, agents, representatives and members of its work force, whose services may be used to fulfill obligations under the Underlying Agreement, are or will be appropriately informed of the terms of this Addendum and are under legal obligation to fully comply with all provisions of this Addendum.

Each Party has disclosed all information in its possession or control (other than information which is subject to confidentiality or non-disclosure obligations) which is material to the other Party entering into this Agreement, and such information does not contain any untrue statement of material fact or omit to state a material fact.

(a) it has the authority and right to enter into and perform this Agreement;
(b) this Agreement is a legal and valid obligation binding upon it; and
(c) its execution, delivery and performance of this Agreement will not (i) conflict in any material fashion with the terms of any other agreement or instrument to which it is or becomes a Party or by which it is or becomes bound, (ii) obligate either Party to violate or breach any of its obligations with Third Parties, including obligations of confidentiality, or (iii) violate any law or regulation of any court, governmental body or administrative or other agency having authority over it.

The Stockholder and the Optionees represent and warrant to each other that this Option Agreement is the legal, valid and binding obligation of each party hereto, enforceable against each Optionee or the Stockholder, as the case may be, in accordance with the terms hereof.

Business Associate and Provider each represents and warrants to the other that all of its employees, agents, representatives, and members of its work force, whose services may be used to fulfill obligations under this Privacy Agreement and/or the Services Agreement, are or shall be appropriately informed of the terms of this Privacy Agreement and are under legal obligation to fully comply with all provisions of this Privacy Agreement.
Mutual Representation and Warranty. The parties hereto represent and warrant to each other that this Agreement is the legal, valid and binding obligation of each party hereto, enforceable against each party hereto, as the case may be, in accordance with the terms hereof, except as enforceability may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or similar laws affecting creditors' and contracting parties' rights generally and except as enforceability may be subject to general principles of equity (regardless of whether such enforceability is considered in a proceeding in equity or at law).

Covered Entity and Provider each represents and warrants to the other that all of its employees, agents, representatives, and members of its work force, whose services may be used to fulfill obligations under this Privacy Agreement and/or the Services Agreement, are or shall be appropriately informed of the terms of this Privacy Agreement and are under legal obligation to fully comply with all provisions of this Privacy Agreement.
Mutual Representation and Warranty. Each Party hereby represents and warrants to the other Party as follows:
(a) Neither it nor anyone acting on its behalf has employed any financial advisor, broker or finder or incurred any liability for any financial advisory, brokerage or finder’s fee or commission in connection with this Agreement or the transactions contemplated hereby.
(b) It has retained and received, or has been advised to obtain and has been given the opportunity to receive, whatever outside consulting and counsel, including tax and legal counsel, it deems necessary or desirable in order to make informed decisions regarding the transactions contemplated by this Agreement.
