Negotiated Document. The parties acknowledge that the provisions and language of this Agreement have been negotiated, and agree that no provision of this Agreement shall be construed against any party by reason of such party having drafted such provision of this Agreement.
Negotiated Document. This Agreement and the other Loan Documents have been negotiated by the parties with full benefit of counsel and should not be construed against any party as author.
Negotiated Document. Each and every provision of this Operating Agreement has been independently, separately, and freely negotiated by the parties as if this Operating Agreement were drafted by all parties hereto. The parties therefore waive any statutory or common law presumption which would serve to have this document construed in favor of or against any party as the drafter hereof.

The Parties acknowledge and agree that this Agreement has been negotiated by each with the assistance of counsel, or an opportunity for counsel to assist and review the same, and no party hereto shall be considered the drafter of this Agreement so as to construe this Agreement against any such party in the event an ambiguity exists herein.

This Guarantee is the result of negotiations between the Guarantor and the Guarantee Beneficiaries and has been reviewed by counsel to the Guarantor and the Guarantee Beneficiaries and is the product of both the Guarantor and the Guarantee Beneficiaries. Accordingly, this Guarantee is not to be construed against the Guarantee Beneficiaries merely because of its involvement in this Guarantee’s preparation.
Negotiated Document. Borrower and Lender acknowledge that the provisions and the language of this Amendment have been negotiated by commercially sophisticated parties, and agree that no provision of this Amendment shall be construed against Borrower or Lender by reason of any such party having drafted such provisions or this Amendment.
Negotiated Document. It is understood and agreed to by and between the parties that this agreement contains the complete agreement and understanding by and between the parties with regard to all terms and conditions of employment in which the parties had the right to negotiate under the laws of the State of Kansas. It is further understood and agreed to by and between the parties that all prior negotiated agreements, understandings and customs and practices in the school district, constituting and affecting the terms and conditions of employment of the teachers of Unified School District 223, Washington County, Kansas, are hereby superseded by this agreement and have no further force and effect.
