Net Metering Credits. Purchaser shall be permitted to retain any credits or payments from the applicable utility that may be available under the Maryland Virtual Net Metering Program or similar programs, to the extent permitted under applicable law. Seller shall reasonably cooperate with Purchaser to facilitate Purchaser’s receipt of payments or benefits under such net metering or similar programs.

Net Metering Credits. Except as otherwise set forth in this Agreement and the Tariff, all interest in and title to any and all Net Metering Credits generated or created during the Term in connection with the operation of the Solar Energy Facility and the delivery of Net Energy to Buyer, together with the right to allocate such Net Metering Credits or receive cash payments in connection with the surrender or transfer of such Net Metering Credits, shall rest solely with Buyer.
Net Metering Credits. Xxxxxx and Xxxxx acknowledge and agree that for purposes of complying with the regulations at 220 C.M.R. § 18.07(2), Buyer shall, if requested by Seller: (i) sign the Interconnection Agreement as Host Customer (as such term is defined in 220 C.M.R. § 18.02); and (ii) designate Seller as its agent for purposes of communications and interactions with the Distribution Company as necessary to carry out the terms of this Agreement, the Inter-Governmental PDA and the EMS Agreement. If Seller does not request that Buyer sign the Interconnection Agreement as Host Customer, Seller shall sign as Host Customer and shall hold all interest in and title to any and all Net Metering Credits generated or created during the Term in connection with operation of the PV System.
Net Metering Credits. Pursuant to Exhibit C hereto, Buyer shall provide to Seller the Accounts to be listed on Schedule Z for the Interconnection Agreement for the Facility. (a) For any Net Metering Credits associated with the Production Share that are allocated, Buyer shall be allocated by the LDC the Net Metering Credits produced by such DG Projects to the Accounts in accordance with Buyer’s Percentage Share of the Production Share. (b) If the LDC elects to purchase rather than allocate Net Metering Credits for the Facility and Seller receives the value of such Net Metering Credits from Host Customer or Developer, then Seller shall use Commercially Reasonable efforts to deliver to Buyer the Net Metering Credit value from the Facility equal to Buyer’s Percentage Share of the Production Share for the Facility. (c) Regardless of whether Buyer receives an allocation of Net Metering Credits pursuant to Section 3.5(a) or whether Buyer receives a payment for Buyer’s Percentage Share of the value of the Net Metering Credits purchased by the LDC, Buyer must pay the price for Production Share as set forth in Exhibit B hereto.

  • TRUNK FORECASTING 57.1. CLEC shall provide forecasts for traffic utilization over trunk groups. Orders for trunks that exceed forecasted quantities for forecasted locations will be accommodated as facilities and/or equipment are available. Sprint shall make all reasonable efforts and cooperate in good faith to develop alternative solutions to accommodate orders when facilities are not available. Company forecast information must be provided by CLEC to Sprint twice a year. The initial trunk forecast meeting should take place soon after the first implementation meeting. A forecast should be provided at or prior to the first implementation meeting. The semi-annual forecasts shall project trunk gain/loss on a monthly basis for the forecast period, and shall include: 57.1.1. Semi-annual forecasted trunk quantities (which include baseline data that reflect actual Tandem and end office Local Interconnection and meet point trunks and Tandem-subtending Local Interconnection end office equivalent trunk requirements) for no more than two years (current plus one year); 57.1.2. The use of Common Language Location Identifier (CLLI-MSG), which are described in Telcordia documents BR 000-000-000 and BR 000-000-000; 57.1.3. Description of major network projects that affect the other Party will be provided in the semi-annual forecasts. Major network projects include but are not limited to trunking or network rearrangements, shifts in anticipated traffic patterns, or other activities by CLEC that are reflected by a significant increase or decrease in trunking demand for the following forecasting period. 57.1.4. Parties shall meet to review and reconcile the forecasts if forecasts vary significantly.
