New Television Advertisements for Nutella. Ferrero agrees to replace and not further air the television advertisements at issue in this lawsuit (referred to as “Mom”, “Pass” and “Silence”) (the “Existing Commercials”) (a copy of said advertising is transcribed and attached as Exhibit G) consistent with the following protocols. X. Xxxxxxx will use reasonable efforts to develop, test, and produce one or more television advertisement(s) with the goal that the new television advertisement(s) replace the Existing Commercials by July 2012. B. As part of the partiessettlement negotiations, Ferrero has provided Class Counsel with three (3) storyboard mock-ups, which include draft scripts (collectively, the “Concepts”), depicting possible replacement television advertisements. Class Counsel have reviewed the language of such replacement television advertising in each of the Concepts and agree that they are acceptable to Plaintiffs and Class Members, and cure any alleged deficiencies in the Existing Commercials. C. As the television advertisements progress from the concept stage into testing and development, Ferrero retains the sole discretion to modify the creative elements of the television advertisements. Following testing, but prior to production (i.e., filming) of the television advertisements, Ferrero shall provide Class Counsel with another opportunity to comment on the television advertisement. Following production, but prior to airing the final television advertisements, Ferrero shall provide Class Counsel with a final opportunity to comment on the final television advertisement. The express purpose of the comment period is to allow non- binding input as to whether the creative development of the final television advertisements has altered the Concepts approved by Class Counsel and the Plaintiffs. Class Counsel recognizes that time is of the essence in the development process and Class Counsel undertakes to make themselves available on an expedited timeframe and agree to review and submit any comment to Ferrero within three (3) business days of Class Counsel’s receipt of the final television advertisements. In the event Class Counsel fails to provide comments within the aforementioned review and comment period, Class Counsel shall be deemed to have waived their right to review and comment on the final television advertisements. D. Plaintiffs acknowledge that the review process set forth in this paragraph 41 shall only apply to the Concepts created by or on behalf of Ferrero to immediately replace ...

  • LITERATURE, ADVERTISEMENTS, AND SOCIAL MEDIA 29 A. Any written information or literature, including educational or promotional materials, 30 distributed by CONTRACTOR to any person or organization for purposes directly or indirectly related 31 to this Agreement must be approved at least thirty (30) days in advance and in writing by 32 ADMINISTRATOR before distribution. For the purposes of this Agreement, distribution of written 33 materials shall include, but not be limited to, pamphlets, brochures, flyers, newspaper or magazine ads, 34 and electronic media such as the Internet. 35 B. Any advertisement through radio, television broadcast, or the Internet, for educational or 36 promotional purposes, made by CONTRACTOR for purposes directly or indirectly related to this 37 Agreement must be approved in advance at least thirty (30) days and in writing by ADMINISTRATOR. 1 C. If CONTRACTOR uses social media (such as Facebook, Twitter, YouTube or other publicly 2 available social media sites) in support of the services described within this Agreement, 3 CONTRACTOR shall develop social media policies and procedures and have them available to 4 ADMINISTRATOR upon reasonable notice. CONTRACTOR shall inform ADMINISTRATOR of all 5 forms of social media used to either directly or indirectly support the services described within this 6 Agreement. CONTRACTOR shall comply with COUNTY Social Media Use Policy and Procedures as 7 they pertain to any social media developed in support of the services described within this Agreement. 8 CONTRACTOR shall also include any required funding statement information on social media when 9 required by ADMINISTRATOR. 10 D. Any information as described in Subparagraphs A. and B. above shall not imply endorsement 11 by COUNTY, unless ADMINISTRATOR consents thereto in writing. 12

  • Shopping Goods and works estimated to cost less than $100,000 equivalent per contract may be procured under contracts awarded on the basis of Shopping.

  • SIGNS AND ADVERTISEMENTS No sign, advertisement, or notice referring to Tenant shall be inscribed, painted, affixed, or otherwise displayed on any part of the exterior or the interior of the Building, except those installed by Landlord on the directories and the entrance door to the Premises and such other areas, if any, as Landlord may determine. As long as Tenant leases all of the Rentable Area in the Building and occupies for normal business purposes at least fifty percent (50%) of the Rentable Area in the Building (with such other Rentable Area being occupied for normal business purposes by Tenant's permitted assignees or sublessees), then Tenant shall have the exclusive right, at its sole cost and expense, to (i) install a sign on the top level exterior of the Building and (ii) install a monument sign at the main drive or parking entrance to the Building bearing Tenant's then current corporate logo as it uses in its business (collectively, the "SIGNS"). The Signs shall conform to all applicable zoning and governmental ordinances and the Fair Lakes signage standards and shall be subject to the reasonable approval of Landlord and the Fair Lakes League as to location, size and design. Tenant shall be obligated, at its sole cost and expense, to install, maintain, repair and remove the Signs. If Tenant exhibits or installs any sign, advertisement or notice except the Signs, Landlord shall have the right to remove the same at Tenant's expense. Landlord shall have the right to prohibit any advertisement of or by Tenant which in its opinion tends to impair the reputation of the Building or its desirability as a high-quality office building and, upon written notice from Landlord, Tenant shall immediately refrain from and discontinue any such advertisement. Except as otherwise set forth above, Landlord reserves the right to affix, install, and display signs, advertisements, and notices on any part of the exterior or interior of the Building.

  • Moonlighting Employment as a physician in a professional capacity outside of what is outlined in this Agreement, whether temporary special medical activity (“TSMA”) or external moonlighting, must be approved in writing, in advance, by the Departmental Chair, Program Director and Director of Graduate Medical Education (or designee). Even if approved, professional and general liability insurance as outlined in Section 5.4 is not provided to Trainee engaged in external moonlighting. Trainee acknowledges he or she has the responsibility to obtain insurance for such engagement. TSMA and external moonlighting must be included and reported as part of Trainee's hours spent on clinical experience and education. Trainee shall not be required to engage in any outside work.

  • Advertisements Any advertising, sales literature or other promotional material (including “prospectus wrappers,” “broker kits,” “road show slides,” “road show scripts” and “electronic road show presentations”) authorized in writing by or prepared by the Fund or the Investment Adviser and used in connection with the public offering of the Securities (collectively, “sales material”) does not contain an untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein not misleading.   • Use of Verizon Telecommunications Services 2.1 Verizon Telecommunications Services may be purchased by Z-Tel under this Resale Attachment only for the purpose of resale by Z-Tel as a Telecommunications Carrier. Verizon Telecommunications Services to be purchased by Z-Tel for other purposes (including, but not limited to, Z-Tel’s own use) must be purchased by Z-Tel pursuant to other applicable Attachments to this Agreement (if any), or separate written agreements, including, but not limited to, applicable Verizon Tariffs. 2.2 Z-Tel shall not resell: 2.2.1 Residential service to persons not eligible to subscribe to such service from Verizon (including, but not limited to, business or other nonresidential Customers); 2.2.2 Lifeline, Link Up America, or other means-tested service offerings, to persons not eligible to subscribe to such service offerings from Verizon; 2.2.3 Grandfathered or discontinued service offerings to persons not eligible to subscribe to such service offerings from Verizon; or 2.2.4 Any other Verizon service in violation of a restriction stated in this Agreement (including, but not limited to, a Verizon Tariff) that is not prohibited by Applicable Law. 2.2.5 In addition to any other actions taken by Z-Tel to comply with this Section 2.2, Z-Tel shall take those actions required by Applicable Law to determine the eligibility of Z-Tel Customers to purchase a service, including, but not limited to, obtaining any proof or certification of eligibility to purchase Lifeline, Link Up America, or other means-tested services, required by Applicable Law. Z-Tel shall indemnify Verizon from any Claims resulting from Z-Tel’s failure to take such actions required by Applicable Law. 2.2.6 Verizon may perform audits to confirm Z-Tel’s conformity to the provisions of this Section 2.2. Such audits may be performed twice per calendar year and shall be performed in accordance with Sections 4.4.2 through 4.4.4 of the General Terms and Conditions. 2.3 Z-Tel shall be subject to the same limitations that Verizon’s Customers are subject to with respect to any Telecommunications Service that Verizon grandfathers or discontinues offering. Without limiting the foregoing, except to the extent that Verizon follows a different practice for Verizon Customers in regard to a grandfathered Telecommunications Service, such grandfathered Telecommunications Service: (a) shall be available only to a Customer that already has such Telecommunications Service; (b) may not be moved to a new service location; and, (c) will be furnished only to the extent that facilities continue to be available to provide such Telecommunications Service. 2.4 Z-Tel shall not be eligible to participate in any Verizon plan or program under which Verizon Customers may obtain products or services which are not Verizon Telecommunications Services, in return for trying, agreeing to purchase, purchasing, or using, Verizon Telecommunications Services. 2.5 In accordance with 47 CFR § 51.617(b), Verizon shall be entitled to all charges for Verizon Exchange Access services used by interexchange carriers to provide service to Z-Tel Customers.
