No Capital Contribution. Except as expressly provided in ----------------------- this Agreement, the Reckson Entities shall not receive any credit to their Capital Account for any debts, liabilities or obligations incurred by any of the Reckson Entities on behalf of the Project or the Partnership prior to December 21, 1993 or for any payments made with respect to any of the matters covered by the indemnification contained in Section 11.1 of the Existing Partnership Agreement.

No Capital Contribution. UPON DISSOLUTION Each Partner shall look solely to the assets of the Partnership for all distributions with respect to the Partnership, its Capital Contribution thereto, its Capital Account, its share of Net Profits or Net Losses or other items and shall have no recourse therefor (upon dissolution or otherwise) against any Partner. No Partner shall be obligated to restore to the Partnership any negative balance that may exist or continue in such Partner's Capital Account.
No Capital Contribution. Any amount paid by the Indemnifying Equity Owner to the Company under Sections 4.04 or 4.05 will not be treated as a Capital Contribution or otherwise added to the Indemnifying Equity Owner's Capital Account, except to the extent (if at all) the Manager determines that Capital Account characterization and treatment is necessary or appropriate. The Management Committee shall notify each other Member of the need for Capital Contributions pursuant to this Section 4.02 when appropriate, which notice must include a statement in reasonable detail of the proposed uses of the Capital Contributions and a date (which date may be no earlier than the fifth Business Day following each Member's receipt of its notice) before which the Capital Contributions must be made. Notices for Capital Contributions must be made to all Members in accordance with their Sharing Ratios.

  • No Additional Capital Contributions Except as otherwise provided in this Article V, no Partner shall be required to make additional Capital Contributions to the Partnership without the consent of such Partner or permitted to make additional capital contributions to the Partnership without the consent of the General Partner.
