No Lessor Liens. No Lease submitted to Lender pursuant to Section 5.3, or any Equipment subject thereto, or any other of its rights therein, has been assigned to, or be subject to, any lien or security interest in favor of, any person other than Lender.
No Lessor Liens. No Specified Lease or any Specified Equipment subject thereto, or any other of its rights therein, has been assigned to, or is subject to, any lien or security interest in favor of, any person other than FHC and Lender.
No Lessor Liens. Notwithstanding anything herein to the contrary, on the Commencement Date, there shall be no Lessor Liens on the Aircraft or facts and circumstances of which Lessor is aware and which might give rise to a Lessor Lien the existence of which would interfere with Lessee's rights under Clause 7.1.
No Lessor Liens. The Property is free and clear of all Lessor Liens created by it (whether voluntary or involuntary).
No Lessor Liens. The Lessor agrees that it shall not directly or indirectly create, incur or suffer to exist (and will, at its own cost and expense, promptly take such action as may be necessary to discharge) any Encumbrance with respect to any Property (i) in favor of any taxing authority by reason of the nonpayment by it of any Tax (other than Taxes for which it is indemnified under the Lease) imposed on it or (ii) resulting from or related to any act of or claim against it not related to or connected with any transaction contemplated hereby or by any of the other Operative Agreements. The foregoing shall not apply to an Encumbrance granted by the Lessor to a Lender in accordance with Section 7.02(b) hereof, except that the Lessor will, at its own cost and expense, take such action as may be necessary to discharge any such Encumbrance prior to the time it is required to convey any Property to Ace.
No Lessor Liens. The Owner Participant shall not, directly or --------------- indirectly, create, incur, assume or suffer to exist, and, at its expense (without any right of indemnity under this Agreement or any other Basic Agreement), shall promptly take such action as may be necessary duly to discharge, any Lessor Lien attributable to it. For all purposes of this Agreement and the other Basic Agreements, any Lessor Lien relating to or arising out of the nonpayment of any Tax imposed on or measured by the net income of the Trust Estate shall be attributed to the Owner Participant.
No Lessor Liens. The Owner Trustee agrees that it will not (as --------------- Owner Trustee or in its individual capacity), directly or indirectly, create, incur, assume or suffer to exist, and, at its expense (without any right of indemnity under this Agreement, the Trust Agreement or any other Basic Agreement), shall promptly take such action as may be necessary duly to discharge any Lessor Lien attributable to it or him.
No Lessor Liens. Each of the Owner Participants and Trust Company agrees, as to itself only, that it shall not directly or indirectly create, incur, assume or suffer to exist any Lien (except such Liens being contested in a Permitted Contest) on, or disposition of its interest in, the Equipment that results from (A) claims against such Person or the Trust Estate not related to the Transactions, (B) any affirmative act of such Person to create such a Lien, other than as contemplated by the Operative Documents, that is not consented to by Lessee and the Owner Participants, nor, in the case of Owner Trustee, expressly directed by the Owner Participant pursuant to the terms of the Trust Agreement, (C) its acts not permitted by, or its failure to take any action required to be taken by it under, the Operative Documents or (D) claims against it or attributable to it relating to Taxes which are excluded from the indemnification provided by Article VII pursuant to said Article VII (and all such Liens, including Liens which result from acts of a Person or claims against a Person being deemed "attributable to" such Person for purposes of this Section 5.01, being referred to herein as "Lessor Liens"). Each of the Owner Participants and Trust Company agrees that it will, at its own cost and expense, with respect to any Lessor Lien to the extent attributable to it, promptly take such action as may be necessary to discharge and release in full such Lessor Lien.
No Lessor Liens. No Lessor Liens exist on the Aircraft.
No Lessor Liens. Lessor hereby unconditionally agrees with and for the benefit of the other parties to this Agreement that Lessor will not directly or indirectly create, incur, assume or suffer to exist any Lessor Liens attributable to it on or against any Property arising out of any act or omission of or claim against Lessor, and Lessor agrees that it will, at its own cost and expense, promptly take such action as may be necessary to duly discharge and satisfy in full any such Lessor Lien. Lessor hereby indemnifies and holds harmless each other party hereto from and against any loss, cost or expense (including reasonable legal fees and expenses) which may be suffered or incurred by any of them as the result of the failure of Lessor to discharge and satisfy any such Lessor Lien.
