No Management Authority. No Service Provider (or any Affiliate or Sub-Contractor of a Service Provider) shall be authorized by, or shall have any responsibility under, this Agreement to manage the affairs of the business of any Service Recipient, or to hold itself out as an agent or representative of the Service Recipient.
No Management Authority. Notwithstanding anything to the contrary contained in this Agreement (including Schedule A), no Provider (or any Affiliate or Sub-Contractor of a Provider) shall be authorized by, or shall have any responsibility under, this Agreement to make any management, business or regulatory decisions on behalf of any Receiver as part of providing the Services.
No Management Authority. No Member except one who shall also be a Manager may participate in or have any control over the Company business or have any authority or right to act for or bind the Company. The Member hereby consents to the exercise by the Manager of the powers conferred on the Manager by this Agreement.
No Management Authority. Notwithstanding any other provision hereof, Purchaser shall not be authorized by, and shall have no responsibility under, this Purchaser Administrative Services Agreement to manage the affairs of the Seller.
No Management Authority. Except for the election of the Board pursuant to Section 4.4 or as otherwise required by this Agreement or by the Act, the Member will not participate in the management or control of the business or affairs of the Company.
No Management Authority. The Partnership shall not take part in the management or control of the Program or any aspects of its business of the Program, and it shall not transact any business for or on behalf of the Program.
No Management Authority. The Members hereby consent to Manager’s exercise of the powers conferred by this Agreement. Except for voting on the matters specified in Section 3.5 below, no Member may control or participate in the Company’s business, have any authority or right to bind Company or take any Action on behalf of Company.
No Management Authority. No Member (other than a Member acting in its capacity as a Director or an officer) shall have the authority or power to act for or on behalf of the Company, to do any act that would be binding on the Company or to make any expenditures or incur any liability on behalf of the Company.
No Management Authority. JMREP 28 and Alchemy and any subsequent admitted member shall take part in the day-to-day management, operation but only the Manager shall have control of the business and affairs of the Company or have any right, power, or authority to act for or on behalf of or to bind the Company or transact any business in the name of the Company. The Members shall have no rights other than those specifically provided herein or granted by law where consistent with a valid provision hereof.
No Management Authority. (a) No Limited Partner may take part in the management of or control of the business of the Partnership, transact any business in the name of the Partnership, incur expenditures on behalf of the Partnership, bind the Partnership or sign any agreement or document in the name of the Partnership.
