No Pending Matters. The Executive warrants and represents that he has not filed any pending complaint, charge, claim or grievance concerning his compensation, separation from employment or terms and conditions of employment against the Company or the Bank with any local, state or federal agency, court or commission, and that if any agency, commission or court assumes jurisdiction of any such complaint or charge on behalf of the Executive relating to the claims released in Section 6, he will request that agency, commission, or court to dismiss such proceeding.

Employee warrants and represents that Employee has not filed any pending complaint, charge, claim or grievance concerning Employee's compensation, separation from employment or terms and conditions of employment against the Company with any local, state or federal agency, court or commission, and that if any agency, commission or court assumes jurisdiction of any such complaint or charge on behalf of Employee, Employee will immediately request that agency, commission, or court to dismiss such proceeding.

There are no pending or, to the knowledge of Seller, threatened actions, lawsuits or proceedings against Seller by any organization, person, individual or governmental agency with respect to the Property that, if determined adversely to Seller, would materially adversely affect Seller’s ability to perform its obligations under this Agreement or that would enjoin or prevent entry into a valid and binding sale and purchase agreement and/or the consummation of any closing nor does Seller know of any basis for such action. There are no outstanding accounts payable relating to the Property that would be binding on Buyer. Seller also has no knowledge of any currently pending application for changes in the zoning applicable to the Property or any portion thereof except as Seller has disclosed to Buyer as of the Effective Date. Seller is not aware and has not been notified of any pending proceedings that could have the effect of impairing or restricting access between the Property and adjacent public roads and, to the best of the Seller’s knowledge, no such proceedings are threatened.

There are no pending or, to the knowledge of Buyer, threatened actions, lawsuits or proceedings against Buyer by any organization, person, individual or governmental agency that, if determined adversely to Buyer, would materially adversely affect Buyer’s ability to perform its obligations under this Agreement or that would enjoin or prevent entry into a valid and binding sale and purchase agreement and/or the consummation of any closing nor does Buyer know of any basis for such action.

First Data represents and warrants that there is no claim, or any litigation, proceeding, arbitration, investigation or material controversy pending to which First Data or any of First Data’s Affiliates, agents, or representatives is a party, relating to the provision of the Services offered by First Data, or which would have a material adverse effect on First Data’s ability to enter into this Agreement and perform its obligations hereunder and, to the best of First Data’s knowledge, no such claim, litigation, proceeding, arbitration, investigation or material controversy has been threatened or is contemplated.

There are no pending or, to the knowledge of Owner, threatened actions, lawsuits or proceedings against Owner by any organization, person, individual or governmental agency with respect to the Property that, if determined adversely to Owner, would materially adversely affect Owner’s ability to perform its obligations under this Agreement or that would enjoin or prevent entry into a valid and binding sale and purchase agreement and/or the consummation of any closing nor does Owner know of any basis for such action. Owner also has no knowledge of any currently pending application for changes in the zoning applicable to the Property or any portion thereof. Owner is not aware and has not been notified of any pending proceedings that could have the effect of impairing or restricting access between the Property and adjacent public roads and, to the best of the Owner’s knowledge, no such proceedings are threatened.

Employee warrants and represents that he has not filed any pending complaint, charge, claim or grievance concerning his compensation, termination or terms and conditions of employment against the Company with any local, state or federal agency, court or commission, and that if any agency, commission or court assumes jurisdiction of any such complaint or charge on behalf of Employee, he will request that agency, commission, or court to dismiss such proceeding. Similarly, the Company warrants and represents that it has not filed any pending complaint, charge, claim or grievance against Employee with any local, state or federal agency, court or commission, and that if any agency, commission or court assumes jurisdiction of any such complaint or charge on behalf of the Company, the Company will request that agency, commission or court to dismiss such proceeding.
No Pending Matters. No investigation, action, suit or proceeding by any governmental or regulatory commission, agency, body or authority, and no action, suit or proceeding by any other Person, shall be pending on the Closing Date which challenges, or might result in a challenge to, this Agreement or any transactions contemplated hereby, or which claims, or might give rise to a claim for, damages in a material amount as a result of the consummation of this Agreement.
No Pending Matters. The Parties represent and warrant to each other that, as of the date of this Termination Agreement, they have pending no action or complaint against any other Party in any municipal, county, state, or federal court, or before any municipal, county, state, federal, administrative court, agency, tribunal, or commission. In the event that any Party is found to have such a claim pending, such Party agrees to dismiss the same within five days after the Party hereto makes demand upon it to do so. In any event, if a Party is found to have such a claim pending against another Party, the Party with such claim hereby agrees to indemnify the other Parties and to hold them harmless should they be occasioned any costs or expenses on account thereof.
