No Proceedings or Orders. No proceeding shall have been commenced by any Governmental Authority against any Party seeking to restrain the Contemplated Transactions, and there shall not be in effect any Law or Governmental Order directing that the Contemplated Transactions not be consummated, preventing the consummation of the Contemplated Transactions or which has the effect of rendering it unlawful to consummate the Contemplated Transactions.
No Proceedings or Orders. Other than the Case and those --------------------------- disclosed on Exhibit "Z" attached hereto, there shall not be any pending or threatened Actions (including any investigation) to restrain, enjoin or invalidate the Transactions.
No Proceedings or Orders. No Proceeding commenced by a Government Entity shall be pending or threatened against any party seeking to restrain or prohibit the transactions contemplated by this Agreement, and there shall be no Order of any nature of any Government Entity of competent jurisdiction or any Law that is in effect that restrains, prohibits or prevents the consummation of the transactions contemplated by this Agreement or that has the effect of rendering it unlawful to consummate the transactions contemplated by this Agreement.
No Proceedings or Orders. There is no Proceeding pending or, to the actual knowledge of such Seller, threatened in writing against such Seller which would affect the ability of such Seller to consummate the sale of the Subject Securities or the other transactions contemplated by this Agreement or the Ancillary Agreements to which such Seller is a party. Such Seller is not subject to any Order that relates to the Subject Securities held by it or to the Business of, or any of the assets owned or used by, the Companies.
No Proceedings or Orders. No proceeding or order shall, on the Closing Date, be pending, threatened or in effect that (i) challenges, or that may have the effect of preventing, restraining, prohibiting, delaying, making illegal, obtaining damages or other relief in connection with, or otherwise interfering with, this Agreement or any of the transactions contemplated hereby, or (ii) would impose any material limitation on the ability of Buyer to exercise full rights of ownership of the Company shares or of the ownership and operation of the assets.
No Proceedings or Orders. No proceeding or order shall, on the Closing Date, be pending, threatened or in effect that challenges, or that may have the effect of preventing, restraining, prohibiting, delaying, making illegal, obtaining damages or other relief in connection with, or otherwise interfering with, this Agreement or any of the transactions contemplated hereby.
No Proceedings or Orders. No Governmental Authority of competent jurisdiction shall have (i) enacted, issued, promulgated, enforced or entered any Law or Order which is in effect, or (ii) commenced or threatened any Proceeding which, in either case, would prohibit the consummation of the transactions contemplated by this Agreement or any other Transaction Document.
No Proceedings or Orders. No proceeding shall have been commenced by any Governmental Authority or third party against any Party seeking to restrain the purchase and sale of the Shares and there shall not be in effect any Law or Governmental Order directing that the purchase and sale of the Shares not be consummated or which has the effect of enjoining or otherwise prohibiting consummation of the purchase and sale of the Shares.
No Proceedings or Orders. The Company has not received written notice of and there is no Proceedings pending, or to the Knowledge of the Company, threatened against the Company, alleging any Liability or responsibility under or non-compliance with any Environmental Law or seeking to impose any financial responsibility for any investigation, cleanup, removal, containment, or any other remediation or compliance under any Environmental Law. The Company is not subject to any Order, settlement agreement, or other written agreement by or with any Governmental Authority or third party imposing any material Liability or obligation with respect to any of the foregoing.
No Proceedings or Orders. Without limiting the generality of the representations and warranties made in Section 4.8, and except as set forth on Schedule 4.13(e), there is no Proceeding pending or, to the Knowledge of Seller, threatened, relating to employment or labor matters in any way. Seller is not subject to any judgment or order of, or any enforcement, regulatory or administration Proceeding by any Governmental Authority relating to employment or labor matters in any way, and, to the Knowledge of Seller, no such judgments, order or Proceedings have been threatened.
