No Solicitation of Employees, Suppliers or Customers. From and after the Closing Date and until such date that is two (2) years after the Closing Date, the Seller shall not, directly or indirectly, for itself or on behalf of any other Person, solicit, employ, engage or retain any Person who, at any time during the preceding 12-month period (which period shall include the Closing Date), shall have been an employee of the Purchaser (except for such employees who have been terminated by Purchaser or who have quit Purchaser's employ for reasons other than Seller's solicitation), or contact any supplier, customer or employee of the Purchaser for the purpose of soliciting or diverting any such supplier, customer or employee from the Purchaser. Notwithstanding the foregoing, Seller may contact Purchaser's suppliers for the sole purpose of purchasing components for use in Seller's Computer Products (module) Business and its electronic manufacturing and engineering services business, subject to Purchaser's right to sell such components to Seller as provided in the Transition Services Agreement. From and after the Closing Date and until such date that is two (2) years after the Closing Date, the 37 Purchaser shall not, directly or indirectly, for itself or on behalf of any other Person, solicit, employ, engage or retain any Person who, at any time during the preceding 12-month period (which period shall include the Closing Date), shall have been an employee of the Seller's Computer Products (module) Business or electronic manufacturing and engineering services business, or corporate staff (except for such employees who have been terminated by Seller or who have quit Seller's employ for reasons other than Purchaser's solicitation).
No Solicitation of Employees, Suppliers or Customers. Neither the ---------------------------------------------------- Transferor nor any Shareholder shall, and neither shall permit any Affiliate of the Transferor or any Shareholder to, from and after the Closing Date, and for a period of three years thereafter, directly or indirectly, for itself or on behalf of any other Person, employ, engage or retain any Person who, at any time during the preceding 12-month period, shall have been an employee of the Transferee, or contact any supplier, customer or employee of the Transferee for the purpose of soliciting or diverting any such supplier, customer or employee from the Transferee.

Neither the Seller nor the Shareholder shall, and neither shall permit any Affiliate of the Seller or the Shareholder to, from and after the Closing Date, and for a period of three years thereafter, directly or indirectly, for itself or on behalf of, or in association with, any other Person, (a) employ, engage or retain any Person who, at any time during the preceding 12-month period, shall have been an employee of the Buyer, or (b) contact any supplier of the Buyer, any customer of the Buyer or any such employee of the Buyer for the purpose of (i) soliciting (A) any customer of the Buyer with respect to the Competing Business (as defined in section 7.7(a), (B) any such employee of the Buyer or (C) or any supplier of the Buyer with respect to the Competing Business, or (ii) diverting (A) any supplier from the Buyer, (B) any customer from the Buyer with respect to the Competing Business or (C) any such employee from the Buyer. For the purposes of this section 7.6 and section 7.7(a), the definition of "Affiliate" shall (w) exclude any Person who purchases the business of the Shareholder by way of a merger, stock purchase or sale of all or substantially all of the assets of the Shareholder and (x) exclude any Person, other than Xxxxxxx X. Xxxxx to the extent provided in the following subsection (z), who, on the date hereof, is a director of the Seller or the Shareholder and is not an employee of, or consultant to, either of them and (y) exclude any Person, other than Xxxxxxx X. Xxxxx to the extent provided in the following subsection (z), not an affiliate of the Seller or the Shareholder on the date hereof and (z) include Xxxxxxx X. Xxxxx until December 11, 2000.

Neither Seller nor the Shareholder shall, and shall not permit any Affiliate of either Seller to, from and after the Closing Date, and for a period of five years thereafter, directly or indirectly, for itself or on behalf of any other Person, employ, engage or retain any Person who, at any time during the preceding 12-month period, shall have been an employee of the Buyer, or contact any supplier, customer or employee of the Buyer for the purpose of soliciting or diverting any such supplier, customer or employee from the Buyer. Notwithstanding anything to the contrary contained in this section 7.6, none of the activities set forth on Schedule 7.6 shall be deemed to contravene the provisions contained in this section 7.6.

No Transferor ---------------------------- shall, and no Transferor shall permit the Company, any Affiliate of the Company or any Affiliate of any Transferor to, for a period of two years after the Closing Date, and during such additional period of up to one year during which any Transferor or Affiliate of any Transferor is subject to similar provisions pursuant to the Xxxxxxxxx Employment Agreement, directly or indirectly, for itself or on behalf of any other Person, employ, engage or retain any Person who, at any time during the preceding 12-month period, shall have been an employee of MedSource or the Transferee, or contact any supplier, customer or employee of MedSource or the Transferee for the purpose of soliciting or diverting any such supplier, customer or employee from the Transferee.
No Solicitation of Employees, Suppliers or Customers. No Principal Shareholder shall, from and after the Closing Date, and for a period of three (3) years thereafter, directly or indirectly, for himself or on behalf of any other Person either (a) solicit to employ for himself for others any employee of Xybernaut or any Affiliate of Xybernaut who was an employee of Xybernaut or any Affiliate of Xybernaut at any time during the preceding 12-month period, or solicit any such employee to leave such employee's employment or join the employ of another, then or at a later time; or (b) contact any supplier, customer or employee of Xybernaut or any Affiliate of Xybernaut for the purpose of soliciting or diverting any such supplier, customer or employee from Xybernaut or any Affiliate of Xybernaut.

No Transferor ---------------------------------------------------- shall, and no Transferor shall permit the Company or any Affiliate of the Company or any Transferor to, from and after the Closing Date, and for a period of three years thereafter, directly or indirectly, for itself or on behalf of any other Person, employ, engage or retain any Person who, at any time during the preceding 12-month period, shall have been an employee of MedSource or the Transferee, or contact any supplier, customer or employee of the Transferee for the purpose of soliciting or diverting any such supplier, customer or employee from MedSource or the Transferee. Notwithstanding the foregoing, Xxxxxxxx X. Xxxxxx, Xxxxxxx X. Xxxxxx and Xxxxx X. Xxxxxx may work for Rawbeam, Inc. or its successors.
