No Solicitation or Hiring. The Seller and the Shareholder agree that neither they nor any affiliate of either of them will solicit, employ or in any other fashion hire persons who are employees of the Seller on the date hereof for a period of one year after the Closing, unless such persons have been discharged by the Purchaser.
No Solicitation or Hiring. During the Term, without the prior express written consent of NewCo, Contributor shall not (and shall not attempt to, permit or cause any of its affiliates, subsidiaries, contractors or representatives or their respective owners, directors, officers, employees, contractors, agents, representatives or third parties to) hire or solicit to hire any Dealership employee that worked for the Dealership as of the Closing Date (each, a “Restricted Party”); provided, however, that a general solicitation or advertisement not specifically targeted to a Restricted Party is not in and of itself a breach of this Agreement.
No Solicitation or Hiring. In consideration for the special separation benefits set forth in section 4 above, you agree that (a) for a period of three years after your termination date, you will not, without the prior written consent of the Board in its sole discretion, directly or indirectly induce or attempt to induce any employee of any Protected Party to leave the employment of such Protected Party or to accept any other employment or position and (b) for a period of two years after your termination date, you will not, without the prior written consent of the Board in its sole discretion, directly or indirectly hire or cause to be hired any employee of any Protected Party. The Company's severance obligations under section 4 above are expressly conditioned upon your satisfaction of your obligations under this section 7.
No Solicitation or Hiring. During each Addendum Term and for the six month period immediately following the Addendum Expiration Date, each Party agrees that, without the effected Party's prior written consent, no Party nor any of its Affiliates will solicit for employment, employ or otherwise contract for the services of any person who is or was employed by any other Party, provided that this Section will not apply to (a) general commercially published solicitations for employment by a Party or its Affiliates, (b) the solicitation or hiring of an employee who was not an employee of any other Party at any time during the six months immediately preceding such solicitation or hiring.
No Solicitation or Hiring. For a period of five (5) years following the Closing, Seller shall not, directly or indirectly, hire or offer employment to any employee of the Business whose employment is continued by Purchaser after the Closing Date, unless (a) Purchaser first terminates the employment of such employee or gives its prior written consent to such employment or offer of employment, (b) such employee contacts Seller regarding employment opportunities, (c) such employee responds to any general solicitation by Seller for employment by Seller, or (d) the employment of such employee by Purchaser has been terminated.
No Solicitation or Hiring. During the first two (2) years of the Term, without the prior express written consent of Buyers, Sellers shall not (and shall not attempt to, permit or cause any of their respective affiliates, subsidiaries, contractors or representatives or their respective owners, directors, officers, employees, contractors, agents, representatives or third parties to) hire or solicit to hire any Dealership employee that worked for a Dealership at any time during the period of time from August 21, 2020, through the Term (each, a “Restricted Party”). Notwithstanding the foregoing, nothing contained herein prohibits Sellers, or any affiliates of Sellers, from placing general advertisement for employment.
No Solicitation or Hiring. Without the prior written consent of Purchaser, none of Seller, Parent either of the Partners or any of their respective Affiliates or their respective agents or representatives shall, for a period of two (2) years after the Closing Date, solicit to hire or hire any New Employees or other personnel employed on a permanent basis by Cordis or Purchaser. The foregoing obligations of Seller, each of the Partners and their respective Affiliates shall not apply to employees who are terminated or given notice thereof by Purchaser.
No Solicitation or Hiring a. From the Closing Date through the date that is eighteen months following the Closing Date, without the prior express written consent of Buyer, Seller shall not (and shall not attempt to, permit or cause any of its affiliates, subsidiaries, contractors or representatives or their respective owners, directors, officers, employees, contractors, agents, representatives or third parties to) solicit for hire any Dealership employee that, to Seller’s knowledge, works for the Dealership at any time during the period of time from July 3, 2021, through the date that is eighteen months following the Closing Date.
No Solicitation or Hiring. Seller covenant and agree that for a period of twelve months following the date of this Agreement, they will not directly or indirectly on their own behalf or on behalf of any third party, employ or engage as a consultant or in any other capacity, any employee of Buyer without Buyer's consent, excepting the management consultant agreement.
