Non-Solicitation of Clients or Customers. I agree that I shall not, during my employment by the Company Entities, and for a period of one (1) year following termination of my employment for any reason, without the prior written consent of the Company, either directly or indirectly, on my own behalf or in the service or on behalf of others, solicit, induce, or attempt to solicit or induce any Customer or Potential Customer (as defined below), to terminate, diminish, or materially alter in a manner harmful to any Company Entity its relationship with that Company Entity. For purposes of this section, a “Customer” is any person or entity who or which, at any time during the one (1) year period prior to my contact with such person or entity as described above if such contact occurs during my employment or, if such contact occurs following the termination of my employment, during the one (1) year period prior to the date my employment ends contracted for, was billed for, or received from any Company Entity any product, service or process with which I worked directly or indirectly during my employment by the Company Entities or about which I acquired Confidential Information.
Non-Solicitation of Clients or Customers. During the Non-Solicitation Period, you shall not, directly or indirectly, in any manner, on your own behalf or on behalf of any other person, corporation, partnership, firm, institution or other business entity, Solicit a Client (as defined below) to (1) transact business with a Competitive Enterprise (as defined below but without regard to the geographic limitations therein), (2) reduce the amount of business that any Client has customarily done or contemplates doing with the Company or (3) cease or refrain from doing business with the Company, or, in any manner, interfere with or damage (or attempt to interfere with or damage) any relationship between the Company and a Client.

The Executive agrees that he shall not during the Restricted Term, directly or indirectly, alone or as principal, partner, joint venturer, officer, director, employee, consultant, agent, independent contractor or stockholder, or in any other capacity whatsoever, directly or indirectly, for his or her own account, or for the account of others, solicit orders for services of a kind or nature like or similar to services performed by the Company or any of Condor's other subsidiaries as of the date of the termination of the Executive's employment by the Company, from any party that was a customer or client of the Company or such subsidiary, or which the Company or any of Condor's other subsidiaries was soliciting to be a customer or client, during the twelve (12) month period preceding the termination of the Executive's employment.

Employee agrees that he shall not during the Employment Period and during the Restricted Period, directly or indirectly, alone or EMPLOYMENT AGREEMENT as principal, partner, joint venturer, officer, director, employee, consultant, agent, independent contractor or stockholder, or in any other capacity whatsoever, directly or indirectly, for his own account, or for the account of others, solicit orders for Restricted Products and Services from, or provide Restricted Products and Services to or for, any Person that was a customer or client of STI, the Company or any Company Affiliate (or which STI, the Company or any Company Affiliate was soliciting to be a customer or client) at anytime during the twenty-four (24) month period preceding the termination of Employee’s employment.
Non-Solicitation of Clients or Customers. Each of the STAG Parties agrees that it or he shall not during the Term and during the Restricted Period, directly or indirectly, alone or as principal, partner, joint venturer, officer, director, employee, consultant, agent, independent contractor or stockholder, or in any other capacity whatsoever, directly or indirectly, for his own account, or for the account of others, solicit orders for Restricted Products and Services from, or provide Restricted Products and Services to or for, any Person that was a customer or client of STI or any STI Affiliate (or which STI or any STI Affiliate was soliciting to be a customer or client) at anytime during the twenty-four (24) month period preceding the termination of STAG’s engagement. RESEARCH AND DEVELOPMENT AGREEMENT
Non-Solicitation of Clients or Customers. During the Employee’s employment and for a period of twelve (12) months following the termination thereof, regardless of the reason therefore, the Employee shall not solicit or attempt to solicit any client or customer or prospective client or customer of the Employer, which has been solicited, engaged or serviced by the Employer within one (1) year prior to the termination of this Agreement.

X’Xxxxxx covenants and agrees that during his employment with Mellon and for a period of twelve (12) months following the termination of his employment, for any reason or no reason, including but not limited to resignation of employment, that (“Restricted Period”), X’Xxxxxx, whether directly or indirectly, in any capacity whatsoever (whether as proprietor, partner, investor, shareholder, director, officer, employer, consultant, independent contractor, co-venturer, financier, agent, representative or otherwise) shall not:

You agree that throughout the period of your employment and for a period of one (1) year following the cessation of your employment (regardless of the reason) or a period starting on the date of the cessation of your employment (regardless of the reason) and ending one (1) year after the date of issuance of a court order enforcing this Section 6(c), whichever is longer, that you shall not, without the Firm’s prior written consent, solicit or attempt to secure business, either directly or indirectly, other than for the Firm’s sole benefit, from any of the Firm’s clients for whom you rendered consulting services during your employment with Xxxx Xxxxx, or from any potential or actual clients of Xxxx Xxxxx whom you, either directly or indirectly, individually or together with other Company employees, actively solicited for business within one (1) year of the cessation of your employment.
