Restricted Products and Services definition

Restricted Products and Services means any of the services or products currently offered by the Company, including, without limitation, transaction processing solutions, financial technology solutions and services, clinical risk management solutions, online transaction processing, cryptography, mobile telephony, integrated circuit card (chip/smart card) technologies, and the design and provision of financial and value-added services related to such services.

Restricted Products and Services shall be defined as providing architectural, engineering, real estate, construction management and/or project management services for the design, build and/or installation of telecommunication (wireless and non-wireless) cell sites or telecommunication (wireless and non-wireless) switching data facilities. Notwithstanding the prior sentence, a Shareholder may perform services for the design, build and/or installation of non-wireless telecommunication cell sites or non-wireless telecommunication switching data facilities provided he does not solicit or perform any services for any of Purchaser's customers who were customers of Seller at any time during the three (3) year period preceding the Closing Date. Seller and each of the Shareholders further acknowledges and agrees that the breadth of such restrictions is reasonable because it/he has become acquainted with the affairs of Purchaser, its officers and employees, its services, products, business practices, business relationships, and the needs and requirements of its customers and prospective customers, trade secrets, intellectual property, Confidential Information, and other information proprietary to Purchaser. Seller and each of the Shareholders acknowledges and agrees that Purchaser has a need to protect, through the above restrictions, each of the foregoing interests and Purchaser's goodwill, and to prevent unfair competition and the inevitable use or disclosure of Confidential Information or trade secrets. Purchaser and each of the Shareholders agree that in the event of a breach of any of the covenants and prohibitions contained in Sections 7 or 8 by Seller or any of the Shareholders, Purchaser shall suffer immediate, immeasurable and irreparable harm and damage, and accordingly, the parties agree as follows:

Restricted Products and Services means (a) care management services including, but not limited to, traditional disease management services, direct patient outreach and other service-based care management offerings (e.g., readmissions management teams, nurse call centers, on-site care management teams); (b) care management workflow software designed for and used by provider-owned payor organizations or other entities intending to conduct active care management campaigns targeted at managing population health/longitudinal outcomes (i.e, solutions that are the same as or substantially similar to (i.e. functionality that is redundant in substantial and material respects with) HealthPlaNet); (c) services primarily intended to support cost reduction and benefit changes for health system employees; or (d) consulting services comparable and competitive with blueprint consulting services offered by Evolent as of the Effective Date (“Blueprint Services”), Base TPA Bundled Services and Crimson Care Registry products. Examples of Restricted Products and Services in a sentence

  • The Merchant shall not use the Services for the payment of Merchant Products and/or Merchant Services (i) where it is illegal to offer or provide these to or from the relevant country and/or (ii) which are stated in Processor's Prohibited and Restricted Products and Services List.

Related to Restricted Products and Services

  • Restricted Products means any product, device, equipment or machinery researched into, developed, manufactured, supplied, marketed, distributed or sold by the Company and with which the duties of the Executive were materially concerned or for which he was responsible during the Relevant Period, or any products, equipment or machinery of the same type or materially similar to those products, equipment or machinery;

Finished Services include Access Services, private lines, retail services, and resold services.
