  • This Agreement constitutes the entire agreement by STI and the STAG Parties with respect to the subject matter hereof and supersedes any and all prior agreements or understandings between the STAG Parties and STI with respect to the subject matter hereof, whether written or oral.

  • The STAG Parties are hereby retained in a capacity that specifically includes the making of Inventions for the exclusive benefit of STI, as the STAG Parties are being hired, inter alia, to invent.

  • In addition, STI will be entitled to such damages as it can demonstrate it has sustained by reason of the violation of this Agreement by any of the STAG Parties and/or others.

  • This Agreement may be amended or modified only by a written instrument executed by the STAG Parties and STI.

  • With respect to the proceeds of the 2020 Series F-2 Bonds and any 2020 Series F Mortgage Loan to be financed therefrom and insured by FHA Risk-Sharing Insurance, the provisions of clause (4) of Section 4.3 of the General Resolution shall be inapplicable.

  • Selling Parties shall have the meaning specified in the preamble.
