Non-Solicitation of Employees Covenant. Employee further agrees and represents that during Employee's employment by the Company and for a period of two (2) years following any termination of Employee's employment for whatever reason, Employee will not, directly or indirectly, on Employee's own behalf or in the service of, or on behalf of any other individual or entity, divert or solicit, or attempt to divert or solicit, to or for any individual or entity which is engaged in providing Business services or products, any person employed by the Company, whether or not such employee is a full-time employee or temporary employee of the Company, whether or not such employee is employed pursuant to written agreement and whether or not such employee is employed for a determined period or at-will.

Executive further agrees and represents that during Executive's employment by the Company and for a period of two (2) years following any termination of Executive's employment for whatever reason, Executive will not, directly or indirectly, on Executive's own behalf or in the service of, or on behalf of any other individual or entity, divert or solicit, or attempt to divert or solicit, to or for any individual or entity which is engaged in providing Business services or products, any person employed by the Company, whether or not such employee is a full-time employee or temporary employee of the Company, whether or not such employee is employed pursuant to written agreement and whether or not such employee is employed for a determined period or at-will.

Employee further agrees and represents that during Employee's employment by the Company and for a period of two years following any termination of this Agreement for whatever reason, Employee will not, directly or indirectly, on Employee's own behalf or in the service of, or on behalf of any other individual or entity, divert or solicit, or attempt to divert or solicit, to or for any individual or entity which is engaged in providing Business services, any person employed by the Company (a) who was employed by the Company during the two-year period ending on the date of the termination of this Agreement and (b) with whom Employee was familiar, whether or not such employee is a full-time employee or temporary employee of the Company, whether or not such employee is employed pursuant to a written agreement and whether or not such employee is employed for a determined period or at-will, except as agreed to by the Company.

The Employee agrees and represents that during the Employee's employment by the Company and for a period of two years following any termination of the Employee's employment, the Employee will not, directly or indirectly, on the Employee's own behalf or in the service of, or on behalf of any other individual or entity, divert, solicit or hire away, or attempt to divert, solicit or hire away [i] any person employed by the Company or [ii] any person who has left the employment of the Company within the one-year period which follows the termination of such employee's employment with the Company, in either case, whether or not such employee is or was a full-time employee or temporary employee of the Company, whether or not such employee is or was employed pursuant to a written agreement and whether or not such employee is or was employed for a determined period or at will.

Executive acknowledges that the Company’s employees and consultants are a valuable asset to the Company, especially because such employees have access to and knowledge of the Company’s confidential information and trade secrets. As such, Executive agrees for a period of one-year from the Termination Date, with respect to any Company employee with whom Executive had material business contact during their employment with the Company, Executive will not (i) induce or attempt to induce such employee of the Company to leave employment or contracting with the Company; or (ii) directly solicit the services of or hire away such current employee of the Company.

The Executive further agrees and represents that during the Restricted Period, the Executive will not, directly or indirectly, on the Executive's own behalf or in the service of, or on behalf of any other individual or entity, (i) divert or solicit, or attempt to divert or solicit, to or for any individual or entity which is engaged in providing services in the Designated Industry, or (ii) otherwise hire or engage, any person employed by the Company who was employed in a management, sales or marketing capacity by the Company at any time during the Restricted Period, whether or not such Employee is a full-time Employee or a temporary Employee of the Company whether or not such Employee is employed pursuant to a written agreement and whether or not such Employee is employed for a determined period or at-will, unless such person has not been employed by the Company for a period of at least 180 days, and except as otherwise agreed to by the Company.

During the Restricted Period Employee will not, directly or indirectly, on Employee's own behalf or in the service of, or on behalf of any other individual or entity, divert, solicit or hire away, or attempt to divert, solicit or hire away, to or for any individual or entity which is engaged in providing Business products or services, any person employed by the Company or its subsidiaries, whether or not such employee is a full-time employee or temporary employee of the Company or its subsidiaries, whether or not such employee is employed pursuant to written agreement and whether or not such employee is employed for a determined period or at-will.
