Notice of Offers. Buyer shall notify Seller of the acceptance of any employment offer made by Buyer, within five (5) business days of the acceptance of such offer.
Notice of Offers. If a Selling Shareholder receives an Offer which it wishes to accept, it must immediately give written notice, including details of the proposed purchaser and the purchase price for the Shares, (the “Transfer Notice”) to the other Shareholder (the “Remaining Shareholder”) offering to sell those Shares which are the subject of the Offer to the Remaining Shareholder at the same cash price as set out in the Offer and on terms which are no less favourable than those contained in the Offer. The Transfer Notice must also state:
(a) the period within which the offer to sell the Shares to the Remaining Shareholder shall remain open for acceptance. This period must be at least thirty (30) Business Days from the date of service of the Transfer Notice (the “Acceptance Period”); and
(b) full details of all other terms and conditions of the Offer.
Notice of Offers. Promptly after its receipt thereof, Newco ---------------- shall give notice of an Offer, a Sprint Offer or a Qualified Offer to each of the Stockholders (a "Stockholder Notice"). Such notice shall set forth in reasonable detail the aggregate consideration and other terms and conditions of the Offer, Sprint Offer or the Qualified Offer, as appropriate. If the terms of any such offer are materially amended after an initial Stockholder Notice, Newco shall promptly give notice of such amended terms to each Stockholder. For purposes of comparing a Third-Party Offer with a Sprint Offer or a Qualified Offer, the Stockholders may request and shall be entitled to receive from Newco any additional information pertaining to any such offer possessed by Newco.
Notice of Offers. Seller agrees to promptly notify Purchaser of any third-party inquiry concerning the purchase of any of the material part of the Assets (including any restaurant) being sold pursuant to this Agreement.
Notice of Offers. If, after such solicitation Sofsource receives and intends to accept a written bona fide offer (the "Third Party Offer") from a reputable manufacturer of such new product (the "Third Party Manufacturer") to manufacture such new product for Sofsource in accordance with such quality standards, then, before accepting such Third Party Offer Sofsource shall first give Allied written notice thereof, which notice (the "Sofsource Notice") shall include a copy of the Third Party Offer and shall set forth all of the material terms and conditions of such Third Party Offer, including but not limited to all of the elements relating to the price, quantity and delivery schedules of the new product to be manufactured pursuant to such Third Party Offer.

(a) If a Selling Party receives an Offer or Offers which it wishes to accept, it must immediately give written notice of such Offer(s) (the “Transfer Notice”), to the other Party (the “Remaining Party”) giving details of the identity of the Third Party Offeror(s). The Selling Party is not required to provide the details of the terms and conditions of the Offer.
(b) The Remaining Party shall within thirty (30) days of receipt of the Transfer Notice either approve the proposed Third Party Offeror(s) or object to any proposed Third Party Offeror(s) on reasonable grounds.

If a Selling Party receives an Offer or Offers which it wishes to accept, it must immediately give written notice of such Offer(s) (the "Transfer Notice"), to the other Party (the "Remaining Party") giving details of the identity of the Third Party Offeror(s). The Selling Party is not required to provide the details of the terms and conditions of the Offer.
Notice of Offers. If a Shareholder receives an Offer which it wishes to accept, it must immediately give written notice (the "Transfer Notice") to the other Shareholder (the "Remaining Shareholder") offering to sell those Shares which are the subject of the Offer to the other Shareholder at the same price per Share as set out in the Offer and on terms which are no less favourable than those contained in the Offer. The Transfer Notice must also state:
19.4.1 the period within which the offer to sell the Shares to the Remaining Shareholder shall remain open to be accepted. This period must be at least 30 Business Days from the date of the Transfer Notice (the "Acceptance Period"); and
19.4.2 full details of all other terms and conditions of the Offer.
Notice of Offers. Xx. Xxxxxx agrees that if he receives an employment, consulting, directorship or similar offer during the 24 months following the Separation Date, then before commencing such employment, consulting, directorship or similar arrangement, Xx. Xxxxxx shall provide written notice to the Chief Executive Officer of the Company of the offer and sufficient details to permit the Company to determine whether the proposed arrangement would be a violation of this Agreement. The Company will then notify Xx. Xxxxxx within seven (7) business days of receipt of such information whether the Company considers the proposed arrangement to be a breach of this Agreement. The provisions set forth in the sentences above shall also apply to each specific project or engagement in circumstances where Xx. Xxxxxx is performing services for a broker, investment bank, private equity firm or other investment related entity during the 24 months following the Separation Date.
Notice of Offers. After the Effective Date, to give Buyer written notice of any offer received by or communicated to Seller or any of agents, employees, directors, partners and directors for the purchase, sale, financing, lease or other disposition of the Property. Such notice shall be given within two (2) days of Seller's receipt of such offer.
