Obligations of Business Associate Upon Expiration or Termination. Upon expiration or termination of this Contract for any reason, with respect to PHI received from DSHS, or created, maintained, or received by Business Associate, or any Subcontractors, on behalf of DSHS, Business Associate shall: (1) Retain only that PHI which is necessary for Business Associate to continue its proper management and administration or to carry out its legal responsibilities; (2) Return to DSHS or destroy the remaining PHI that the Business Associate or any Subcontractors still maintain in any form; (3) Continue to use appropriate safeguards and comply with Subpart C of 45 CFR Part 164 (Security Standards for the Protection of Electronic Protected Health Information) with respect to Electronic Protected Health Information to prevent Use or disclosure of the PHI, other than as provided for in this Section, for as long as Business Associate or any Subcontractors retain the PHI; (4) Not Use or disclose the PHI retained by Business Associate or any Subcontractors other than for the purposes for which such PHI was retained and subject to the same conditions set out in the “Use and Disclosure of PHI” section of this Contract which applied prior to termination; and (5) Return to DSHS or destroy the PHI retained by Business Associate, or any Subcontractors, when it is no longer needed by Business Associate for its proper management and administration or to carry out its legal responsibilities.

Part 164, Security Standards for Protection of Electronic Protected Health Information, with respect to ePHI to prevent Use or disclosure of the PHI, other than as provided for in this Section, for as long as Contractor or any Subcontractor retains PHI; 9.3.10.4 Not Use or disclose the PHI retained by Contractor or any Subcontractors other than for the purposes for which such PHI was retained and subject to the same conditions section out in Section 9.3, Use and Disclosure of PHI, that applied prior to termination; and 9.3.10.5 Return to SBHASO or HCA or destroy the PHI retained by Contractor, or any Subcontractors, when it is no longer needed by Contractor for its proper management and administration or to carry out its legal responsibilities.

Obligations of Business Associate Upon Expiration or Termination. Upon the expiration or termination of this Agreement, Business Associate shall return or destroy all PHI (including E-PHI) received from, or created or received by, Business Associate on behalf of Covered Entity that Business Associate maintains in any form, and shall retain no copies of such PHI (including E-PHI), unless such return or destruction is not feasible. If it is not feasible for Business Associate to return or destroy the PHI (including E-PHI) upon expiration or termination of this Agreement, as reasonably determined in good faith by Business Associate, Business Associate shall extend indefinitely any and all protections, limitations and restrictions to the PHI as contained in this Agreement.

(6) If Business Associate determines that returning or destroying the remaining PHI is infeasible, the protections of this Contract shall continue to apply to such PHI, and Business Associate shall limit further uses and disclosures of PHI to those purposes that make the return or destruction infeasible, for so long as Business Associate maintains such PHI. DSHS hereby purposes of complying with its internal archival and record retention policies and that for such retention no further notice to, or agreement by, DSHS is required. The rights and obligations of this Contract will survive termination as so required by the foregoing and for so long as Business Associate maintains the PHI.
