Obligations of Xxxxxx to Xxxxxxxxx. (i) Xxxxxx shall retain all books, records, and other documents relative to this Agreement and the construction, equipping and operation of the Broadband Network for the Term of this Agreement (including any Renewal Terms, if any), and for five (5) years after expiration of this Agreement. Such records shall include but not be limited to all paid vouchers including those for out- of-pocket expenses; other reimbursement supported by invoices, including copies of periodic estimates for partial payment; ledgers, cancelled checks; deposit slips; bank statements; journals; contract amendments and change orders; insurance documents; payroll documents; timesheets; memoranda; correspondence; documents relating to the design, equipping, and operation of the Broadband Network. Such records shall be made available to Dinwiddie upon five (5) working days’ notice. (ii) Xxxxxx agrees to reimburse Dinwiddie for the portion of any “clawback” initiated by the Tobacco Commission expended for the primary purpose of the Project in Xxxxxx with the understanding that Dinwiddie shall be responsible for the portion of any “clawback” initiated by the Tobacco Commission expended for the primary purpose of the Project in Dinwiddie; provided, however that this Section 7(b)(ii) shall not prevent either County from exercising any of its rights to recover any such “clawback" from the Company. (iii) Without limiting the foregoing, should the Tobacco Commission for any reason require the return of any of its grant funding that was paid by Dinwiddie to Xxxxxx, Xxxxxx shall repay such sum to Dinwiddie within fifteen (15) business days, together with any interest and penalties owed thereon. (iv) Provide any Requisition Forms required by Dinwiddie, along with any other supporting documentation required by Dinwiddie.

Distributions; Xxxxxx Xxx Guaranty On or before each Determination Date (or as soon thereafter as is reasonably practicable), Xxxxxx Mae shall calculate the Lower Tier Distribution Amount for the current calendar month. On each Distribution Date, Xxxxxx Xxx shall withdraw from the Certificate Account the portion of the Lower Tier Distribution Amount distributable thereon and shall make the distributions to the Holders of the related Lower Tier Regular Classes in the respective amounts and in the applicable manner determined pursuant to Section 2.02. In the event that the amount on deposit in the Certificate Account on any Distribution Date shall be less than the applicable portion of the Lower Tier Distribution Amount distributable thereon, Xxxxxx Mae shall provide from its own funds the amount of any such insufficiency. In addition, in the event that (i) the applicable portion of the Lower Tier Distribution Amount shall be insufficient to pay all interest due and payable on the related Lower Tier Regular Classes on such Distribution Date or (ii) such Distribution Date is a Final Distribution Date for any Class and the distribution on such Distribution Date of the applicable portion of the Lower Tier Distribution Amount will not be sufficient to reduce the Class Balance of such Class to zero on such Final Distribution Date, then Xxxxxx Xxx shall (a) withdraw from the Certificate Account, such amount as shall be necessary to remedy such insufficiency and (b) to the extent that funds in the Certificate Account shall be insufficient therefor, apply its own funds towards remedying the same.

Xx Xxxxxx No waiver or modification of this Agreement or any of its terms is valid or enforceable unless reduced to writing and signed by the party who is alleged to have waived its rights or to have agreed to a modification.
Compliance with Xxxxxxxx-Xxxxx The Company and its subsidiaries and their respective officers and directors are in compliance in all material respects with the applicable provisions of the Xxxxxxxx-Xxxxx Act of 2002 (the “Xxxxxxxx-Xxxxx Act,” which term, as used herein, includes the rules and regulations of the Commission promulgated thereunder).
Conditions to Xxxxx’x Obligations The obligations of Xxxxx hereunder with respect to a Placement will be subject to the continuing accuracy and completeness of the representations and warranties made by the Company herein, to the due performance by the Company of its obligations hereunder, to the completion by Xxxxx of a due diligence review satisfactory to Xxxxx in its reasonable judgment, and to the continuing satisfaction (or waiver by Xxxxx in its sole discretion) of the following additional conditions:
