1. S & L Transactions Limited (S & L Transactions) is a New Brunswick corporation with a registered office located in Fredericton, New Brunswick.
2. Xxxxxx Xxxxxxxxx is an individual resident in Fredericton, New Brunswick. Xxxxxx Xxxxxxxxx was a registered mutual fund salesperson at Investia Financial Services Inc. (“Investia”) at all material times, until he resigned on 1 September 2009.
3. Xxxxx Xxxxxxxxx is an individual resident in Fredericton, New Brunswick. Xxxxx Xxxxxxxxx is the sole director of S & L Transactions. Xxxxx Xxxxxxxxx has never been registered with the NBSC.
4. In July 2006, Xxxxx Xxxxxxxxx loaned $50,000 to a Quebec enterprise called Centre de traitement d’information de crédit (C.T.I.C.) Inc. (“CTIC”) by way of debt securities issued by CTIC (“loan agreements”). She made two more $50,000 loans to CTIC, one in July of 2007 and another in September of 2008 (for a total of $150,000). These loans were held until CTIC entered bankruptcy proceedings in May 2009.
5. In addition to making these loans, Xxxxx Xxxxxxxxx and Xxxxxx Xxxxxxxxx also introduced a few of their friends to the loan agreements offered by CTIC. S & L Transactions entered into an agreement with CTIC to be paid commissions of 1% per month for any such loans forwarded to CTIC by way of loan agreements.
6. In July 2006, the Respondents acted in furtherance of a trade in a $50,000 CTIC loan agreement to a New Brunswick corporation controlled by a friend of Xxxxxx Xxxxxxxxx. The loan was held for a term of one year, and the investor received all interest payments under the loan agreement (12% per year) and received his full principal back upon maturity. S & L Transactions was paid $6,000 in commissions in respect of this trade.
7. In July 2006 and July 2007, the Respondents acted in furtherance of two trades of $50,000 CTIC loan agreements to a friend of Xxxxxx Xxxxxxxxx (for a total investment of $100,000). The loans were held and paid interest (12% per year) until CTIC entered bankruptcy proceedings in May 2009. S &...

1. WFG Securities of Canada Inc. (“WFGS”) is a mutual fund dealer registered with the New Brunswick Securities Commission, with a head office at 0000 Xxxxxxx Xxxxxx Xxxx xx Xxxxxxx, Xxxxxxx.
2. Xxxxx Xxxxxxx (“Xxxxxxx”) is an individual resident in Calgary, Alberta, where he is registered with the Alberta Securities Commission as a branch manager and dealing representative for WFGS.
3. From July 2008 until November 2009, WFGS operated an unregistered sub-branch out of Fredericton, New Brunswick.
4. The mutual fund salespersons/dealing representatives working out of the WFGS Fredericton sub-branch (the “Fredericton staff”) were registered as operating out of the Moncton branch office.
5. WFGS allowed its entries in the National Registration Database to reflect that the Fredericton staff were being supervised by the Moncton branch manager, when this was not the case.
6. The Moncton branch manager had been asked by WFGS to supervise the Fredericton sub-branch, but declined on the basis that it would be untenable for them to supervise the Fredericton sub-branch from the Moncton branch office.
7. The Fredericton sub-branch was in fact supervised by Xxxxxxx, who at all times was resident in Alberta.
8. Xxxxxxx was never registered with the New Brunswick securities Commission in any capacity. 9. WFGS agrees that it breached section 9.7(4) of Local Rule 31-501 by operating a sub- branch in Fredericton that was not supervised by an on-site branch manager or a designated branch manager in the same geographic region. Local Rule 31-501 was repealed on 28 September 2009.
