ON SITE MARKETING MANAGERS. Acorn shall provide onsite marketing director(s) for the Facility as set forth in the marketing plan. Acorn and RALLC acknowledge and agree that the initial onsite marketing director(s) will be hired by Acorn but that RALLC shall have the right to request that Acorn replace the onsite marketing director(s) in the event RALLC is not reasonably satisfied with the performance of said director(s). The onsite marketing director(s) will be and remain the employee(s) of Acorn and his or her compensation shall be reimbursed to Acorn by RALLC. Compensation shall include the monthly salary (plus applicable federal, state and local withholding taxes), payable within ten (10) days of receipt of the Monthly Invoice. In addition, RALLC shall reimburse Acorn within ten (10) days after receipt of the Monthly Invoice therefor for the cost of employee benefits (i.e., health insurance, dental insurance, and such other benefits as may be approved by RALLC) provided by Acorn to the onsite marketing director(s) as an employee of Acorn. The onsite marketing director(s) will be responsible for the day to day marketing of the Facility in accordance with the terms of this Agreement. b.

  • Program Managers See Section 14.1.

  • Joint Marketing The Parties shall engage in joint marketing activities pursuant to Section 7.7 of this Agreement and any other joint marketing agreement that may be entered into from time to time.

  • Foreign Custody Manager Services (a) The Fund, on behalf of its Board, delegates to the Custodian, and the Custodian hereby agrees to accept, responsibility as the Fund's foreign custody manager for selecting, contracting with and monitoring Foreign Custodians in the countries set forth on Schedule 2 (each, a “Selected Country” and collectively, the “Selected Countries”) in accordance with Rule 17f-5(c).

  • Project Managers Each party will designate a project manager (“Project Manager”) who will (a) serve as such party’s primary representative under this Agreement, (b) have overall responsibility for managing and coordinating the performance of such party’s obligations under this Agreement and be responsible for the day-to-day implementation of this Agreement, including attempted resolution of any issues that may arise during the performance of any party’s obligations hereunder for each of the Services, (c) be authorized to act for and on behalf of such party with respect to all matters relating to this Agreement and (d) will provide guidance on the steps the parties shall take to cooperate in the transition, separation and migration of the Services. Generally, requests by NewCo relevant to the Services will be made by NewCo’s Project Manager to MCK’s Project Manager; however, the foregoing provision will not limit either party’s ability to communicate with the other party’s relevant contact person(s) with respect to any particular Service. Either party’s Project Manager may from time to time designate a substitute of commensurate skills and experience by notice to the other party to fulfill such Project Manager’s responsibilities during any periods of unavailability.

  • Marketing Services The Manager shall provide advice and assistance in the marketing of the Vessels, including the identification of potential customers, identification of Vessels available for charter opportunities and preparation of bids.

  • Customer Services Provide services and systems dedicated to customer service, including billing, remittance, credit, collections, customer relations, call centers, energy conservation support and metering.

  • Alliance Managers In addition to the foregoing governance provisions, each of the Parties shall appoint a single individual to serve as that Party’s alliance manager (“Alliance Manager”). The role of each Alliance Manager will be to participate and otherwise facilitate the relationship between the Parties as established by this Agreement. A Party may replace its Alliance Manager from time to time upon written notice to the other Party.

  • Technical Services Party B will provide technical services and training to Party A, taking advantage of Party B’s advanced network, website and multimedia technologies to improve Party A’s system integration. Such technical services shall include:
