Operations Guide. 3.1 The Company shall make available the Operations Guide to the Customer. The Customer shall be obliged from time to time to request the Company to provide a set of the Operations Guide, which covers (among other things) the times when the Tele-services is available and how to access and operate the Tele-services. 3.2 The Customer shall follow all relevant Operations Guide when accessing and operating the Tele-services. 3.3 The Company may inform the Customer from time to time about changes to access or operation of the Tele-services. The Customer shall observe all such changes when accessing or operating the Tele-services.

Operations Guide. Purchaser’s performance of the Servicing Rights shall be subject to the terms of the Operations Guide, to the extent not inconsistent with the terms of the applicable Investor Agreements. The Operations Guide may be amended from time to time by Seller with Purchaser’s prior written consent (which shall not be unreasonably withheld), without formal amendment of this Agreement. To the extent of a conflict between the Operations Guide and this Agreement, this Agreement shall control.
Operations Guide. AT&T and OIT will negotiate an Operations Guide that will detail all of the service aspects of the INOC.   • Operations Support Systems Functions 9.1 Effective as of February 8, 2021, notwithstanding any other term or condition of the Amended Agreement or a Verizon tariff or SGAT, and subject to the transitional provisions set forth in Subsection 9.2 below, unbundled access to Operations Support Systems Functions will not be available from Verizon on or after February 8, 2021, except when such functions are used to manage other UNEs that remain available from Verizon, local interconnection, or local number portability. 9.2 Any unbundled access to Operations Support System Functions eliminated pursuant to Section 9.1 above will continue to be provisioned for the period in which unbundled access is available to the UNE managed through the use of such functions, but not after such period.

  • Emergency Mode Operation Plan Contractor must establish a documented plan to enable continuation of critical business processes and protection of the security of electronic County PHI or PI in the event of an emergency. Emergency means any circumstance or situation that causes normal computer operations to become unavailable for use in performing the work required under this Agreement for more than twenty-four (24) hours.

  • Operations Support Systems (OSS) 47.1. Embarq will offer unbundled access to Embarq’s operations support systems to the extent technically feasible in a non-discriminatory manner at Parity. OSS consists of pre- ordering, ordering, provisioning, maintenance and repair, and billing functions supported by Embarq’s databases and information. The OSS element includes access to all loop qualification information contained in Embarq’s databases or other records, including information on whether a particular loop is capable of providing advanced services.

  • Operations Matters In the conduct its business and operations, Pledgor shall, and shall cause each of the Companies to: (i) maintain books and records, separate from those of any other Person; (ii) maintain its bank accounts and all its other assets separate from those of any other Person; (iii) hold regular member, partnership or shareholder meetings, as appropriate, to conduct its business, and observe all other limited liability company, partnership or corporate formalities, as the case may be; (iv) hold itself out to creditors and the public as a legal entity separate and distinct from any other Person; (v) prepare separate financial statements, or if part of a consolidated or combined group, then it shall be shown as a separate member of such group, including in a footnote(s) to the relevant financial statements disclosing its separate existence and identity and the existence of its own assets; (vi) allocate and charge fairly and reasonably any common employee or overhead shared with Affiliates; (vii) transact all business with Affiliates on an arm's-length basis and to enter into transactions with Affiliates on an arm's-length basis; (viii) conduct business in its own name; (ix) with regard to each Company, maintain a sufficient number of employees in light of such Company's contemplated business operations; (x) correct any misunderstanding regarding its separate identity of which Pledgor has actual knowledge; (xi) not identify itself in writing as a division of any other Person; and (xii) maintain adequate capital in light of its contemplated business operations.

  • Conduct of Local Church Operations From the date of this Disaffiliation Agreement through and until the Closing, the Local Church: (a) will conduct its operations substantially in accordance with past practice and will use commercially reasonable efforts, subject to the foregoing, to maintain and preserve its operations and organization consistent with past practice and efficient and economical management, (b) will not take any action that is inconsistent with its charitable purposes under Section 501(c)(3) of the Code or that otherwise adversely affects its tax-exempt status, and (c) will not take any action that would cause its representations and warranties in this Disaffiliation Agreement not to remain true and correct as of Closing, except with the prior written consent of the Annual Conference.
