Opinion of Counsel for the Agents. On the date of this ATM Equity OfferingSM Sales Agreement, the Agents shall have received the favorable written opinion or opinions of Xxxxxx & Xxxxxxx LLP, counsel for the Agents, dated such date, with respect to such matters as the Agents may reasonably request. In giving such opinion or opinions, such counsel may rely, as to all matters governed by the laws of jurisdictions other than the laws of the State of New York, the General Corporation Law of the State of Delaware and the federal securities laws of the United States, upon the opinions of counsel satisfactory to the Agents. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers and other representatives of the Company and its subsidiaries and certificates of public officials.
Opinion of Counsel for the Agents. On the date of this At Market Issuance Sales Agreement, the Agents shall have received the favorable written opinion or opinions of Ropes & Xxxx LLP, counsel for the Agents, dated such date, with respect to such matters as the Agents may reasonably request. In giving such opinion or opinions, such counsel may rely, as to all matters governed by the laws of jurisdictions other than the laws of the State of New York and the federal securities laws of the United States, upon the opinions of counsel satisfactory to the Agents. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers and other representatives of the Company and its subsidiaries and certificates of public officials.
Opinion of Counsel for the Agents. The Agents shall have received the favorable opinion of Xxxxx Day required to be delivered pursuant to Section 7(p) on or before the date on which the delivery of such opinion is required pursuant to Section 7(p).
Opinion of Counsel for the Agents. On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement, and within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit E for which no waiver is applicable, the Agents shall have received the favorable written opinion or opinions of Xxxxx Xxxx & Xxxxxxxx LLP, counsel for the Agents, dated such date, with respect to such matters as the Agents may reasonably request.
Opinion of Counsel for the Agents. Upon the commencement of the offering of the Placement Shares under this Agreement (and upon the recommencement of the offering of the Placement Shares under this Agreement following the termination of a Suspension Period), and on any such date that the Company is obligated to deliver a legal opinion under Section 7(m) hereof, the Agents and the Forward Purchasers shall have received the written opinion and negative assurance letter of Xxxx Xxxxxxxx LLP, counsel for the Agents, each dated such date, with respect to such matters as the Agents and the Forward Purchasers may reasonably request.
Opinion of Counsel for the Agents. On the Commencement Date, the Agents shall have received the favorable written opinion or opinions of Xxxxxx & Xxxxxxx LLP, counsel for the Agent, dated such date, with respect to such matters as the Agents may reasonably request. In giving such opinion or opinions, such counsel may rely, as to all matters governed by the laws of jurisdictions other than the laws of the Delaware LP Act, the Delaware LLC Act and the federal securities laws of the United States, upon the opinions of counsel satisfactory to the Agents. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers and other representatives of the Partnership Parties and certificates of public officials.
Opinion of Counsel for the Agents. The favorable opinion of Browx & Xood LLP, counsel for the Agents, with respect to the matters set forth in paragraphs 1, 2, 7, 8, 9, 16, 17, and 19 and the penultimate paragraph of Exhibit B hereto.
Opinion of Counsel for the Agents. On or prior to the date that the first Shares are sold pursuant to the terms of this Agreement and within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit 9(f) for which no waiver is applicable, [—] and the Alternative Agents shall have received from Cravath, Swaine & Xxxxx LLP, counsel for the Agents, such opinion or opinions, dated the date that the opinion is required to be delivered, with respect to such matters as the Agents may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters; provided however, that the obligation of Cravath, Swaine & Xxxxx LLP under this Section 9(f) shall be deferred during any Suspension Period and shall recommence upon the termination of such Suspension Period.
Opinion of Counsel for the Agents. On every date specified in Section 3(o) hereof, Sidley Austin llp, counsel for the Agents, shall have furnished to the Agents written opinions and statements, dated as of such date, with respect to such matters as the Agents may reasonably request, and such counsel shall have received such papers and information as it may reasonably request to enable it to pass upon such matters. Sidley Austin llp may rely upon the opinion of counsel to the Company as to matters of Texas law.
Opinion of Counsel for the Agents. The favorable opinion of Goodxxx, Xxocxxx & Xoar XXX, counsel for the Agents, with respect to the matters set forth in numbered paragraphs 1 (first sentence), 5, 6, 8 and 10 and the penultimate paragraph of Exhibit B hereto.
