Ownership of Tooling. If Buyer supplies the tooling or Buyer pays for the tooling for the purposes expressed hereunder, whether as a separate charge or as included in the cost of the article purchased hereunder, all right title and interest in and to any such tooling shall vest in Buyer and no such right, title or interest shall vest in Seller. Seller shall, at its own expense, maintain such tooling in proper working condition and shall be responsible for all loss or damage to such tooling while in its possession. Seller shall use same exclusively for the production of articles for Buyer and for no other use except with Xxxxx's written permission. Buyer shall retain an unqualified right to remove, without charge to Buyer, any and all tooling of Buyer from Seller. Said tooling shall be returned to Buyer in good condition, ordinary wear and tear accepted.
Ownership of Tooling. In the event that InFocus wishes to move tooling from one location to another, Supplier will actively engage in the transfer. Supplier will obtain InFocus approval prior to moving any tooling and shall periodically update all tooling locations.
Ownership of Tooling eV shall procure and/or produce upon mutual pre-approvals, all tools, dies, jigs, and fixtures required to manufacture the Crystals and/or Modules. eV shall invoice Neoprobe, at mutually pre-approved amounts and intervals, for all labor and materials required to procure or produce all such tooling, jigs, fixtures, and the like, and upon payment Neoprobe shall obtain unrestricted ownership thereof and to the detailed assembly drawings for such tooling. Neoprobe shall pay eV for all such items within thirty (30) days after receipt of the invoice. All replacement tools required shall also be owned by Neoprobe upon payment by Neoprobe of the cost thereof. Termination of this Agreement shall result in the surrender by eV of all tools, drawings, for tools, replacement tools, fixtures and jibs, paid for and owned by Neoprobe.
Ownership of Tooling. Unless otherwise agreed specifically in writing (and not by a printed provision in any business form), all special tools, dies, molds, jigs and fixtures made or utilized by Littelfuse shall be and remain Littelfuse’s property. Should any special tools, dies, molds, jigs or fixtures be furnished by Buyer or contractually be Buyer’s property, they shall be held at Buyer’s sole risk, and Littelfuse shall have a lien thereon while in Littelfuse’s possession to secure all indebtedness whatsoever due from Buyer to Littelfuse, which lien shall be enforceable by sale or court action.
Ownership of Tooling. All Bosch Tooling will be the sole property of Bosch; and when in the possession of Seller or any of its subcontractors, shall be deemed a bailment. Title to and the right of immediate possession of any bailed Bosch Tooling shall at all times remain with Bosch and neither Seller nor any other party claiming through Seller shall have any right of property therein. Bosch becomes the sole owner of all New Tooling as soon as it is fabricated or acquired by Seller. Bosch takes title to the New Tooling even if Seller has not yet been paid for the Tooling. Ownership by Bosch will not relieve Bosch of its obligations to pay for the New Tooling nor affect any claim of Seller for payment under a purchase order. Seller will not sell, lend, rent, encumber, pledge, lease, transfer or otherwise dispose of the Bosch Tooling.
Ownership of Tooling. Designs, tools, jigs, dies, fixtures, templates, patterns, drawings, and other information and things (herein collectively, the “Tools”) directly paid for or furnished by Distributor shall be Distributor's property and Company shall not encumber or dispose of them in any way. Company shall maintain such Tools in reasonably good working condition. The Tools shall be used exclusively for Company’s performance of its obligations hereunder. Any and all costs incurred by Company in order to replace due to wear and tear, scale up, significantly upgrade or modify the Tools, other than scheduled maintenance, loss or abuse by Company, shall be reimbursed by Distributor.

Ownership of Tooling. Plexus shall procure and/or produce upon mutual pre-approvals, all tools, dies, jigs, and fixtures required to manufacture Product. Plexus shall invoice Neoprobe for all labor and materials required to procure or produce all such tooling, jigs, fixtures, and the like, and upon payment Neoprobe shall obtain unrestricted ownership thereof and to the detailed assembly drawings for such tooling. Neoprobe shall have the right to access such drawings at all times during the term of this Agreement. All replacement tools required shall also be owned by Neoprobe upon payment by Neoprobe of the cost thereof. Termination of this Agreement shall result in the surrender by Plexus of all tools, drawings for tools, replacement tools, fixtures and jigs paid for and owned by Neoprobe. The tooling described herein shall be utilized by Plexus only for the production and/or testing of the Product. All tooling quoted herein is quoted at the cost to Plexus from its suppliers. A procurement charge of *** will be added to all tooling with a cost of less than ***, and a *** procurement charge added to all tooling with a cost of *** or greater.
Ownership of Tooling. Regardless of when Tooling is accepted by GUARDIAN, title to Tooling will pass to GUARDIAN upon the sooner to occur of (i) when the Tooling is fabricated or completed by Seller or acquired by GUARDIAN or, (ii) in the case of an Order for refurbishment of Tooling to which GUARDIAN does not already hold title, when refurbishment is substantially completed. Title to the Tooling will pass to GUARDIAN even if GUARDIAN has not made full payment; however, the title transfer will not affect GUARDIAN’s obligation to pay for the Tooling as provided in and according to the terms of the Order. Once title to Tooling passes to GUARDIAN, the Tooling and related blueprints, designs, specifications, drawings, photographic negatives and positives, artwork, and copy layout provided by GUARDIAN or developed by Seller or its third-party suppliers in connection with or related to any Order (collectively, “Bailed Property”), will be held by Seller as a bailee-at-will for the benefit of GUARDIAN. Seller bears the risk of loss of and damage to the Bailed Property in its possession or under its control. At Seller’s own cost and expense, Seller must keep such Bailed Property insured for the benefit of GUARDIAN, naming GUARDIAN as the loss payee and additional insured. Seller must at all times, and without charge to GUARDIAN, properly house the Bailed Property and protect it against destruction, damage, or theft. Subject to the terms contained herein, GUARDIAN’s ownership of such Bailed Property will not affect GUARDIAN’s obligation to pay for the Tooling. Seller agrees that the Bailed Property: (i) will not be used by Seller for any purpose other than pursuant to the terms of the Order; (ii) will be deemed personal property of GUARDIAN; (iii) must be conspicuously marked by Seller to identify it as property of GUARDIAN (including indicating GUARDIAN's name, address, and asset number); (iv) must not be commingled with Seller’s property or with that of a third party; and (v) must not be moved from Seller's premises without the prior written approval of GUARDIAN. Seller must also, at its sole cost and expense, maintain, repair, and refurbish Bailed Property in first class condition. All replacement parts, additions, improvements, and accessories for such Bailed Property automatically become GUARDIAN's property upon their incorporation into or attachment to the Bailed Property. Ownership of Tooling. Schedule 1.1(m) is a true, accurate and complete listing of all the Tooling. The Tooling is located as specified on Schedule 1.1(m). Seller is the sole owner of all of the Tooling, regardless of where the Tooling may be located and no vendor of Seller has any right, title or interest in any of the Tooling.
