Package Bookings. You agree that for each Rate Plan for Standalone Bookings You provide, Expedia will create for You (or You will create) a Rate Plan for Package Bookings. Subject to the last sentence of this Section B.1., Expedia may offer any of Your rooms (as made available by You under this Contract) for reservation as a Package Booking, and any of your rooms that are made available as Package Bookings may be offered to guests for reservation as an Opaque Booking. When doing so, Expedia will collect advance payments from guests at the time of such booking. For each room night covered by a Package Booking or Opaque Booking, Expedia will remit to You the Package Remittance and Taxes paid by the guest (except to the extent Expedia is required to pay Taxes to the applicable Tax authorities) in the manner described in Section B.2. The Parties agree that the Package Percentage may be increased at Your discretion. Notwithstanding the foregoing, You will maintain discretion to enforce black-out dates or other availability restrictions on Rate Plans for Package Bookings based on Your revenue management strategy through Expedia Partner Central, so long as these availability restrictions are properly communicated to Expedia in advance and also apply to relevant package rate plans available through Your own or any third-party booking or distribution channels. You may discontinue participation in Opaque Bookings by providing ten (10) days written notice to Expedia.
Package Bookings. In addition to commissionable bookings on which EI may earn a commission, Supplier may file Package Bookings for booking through the Booking Channels. Supplier shall make Package Bookings available through the Booking Channels in accordance with the terms and conditions set forth in Section 2 below.

  • Promotional Material In the event that the Fund or the Investment Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Investment Adviser will install and maintain or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • Advertising and Promotional Materials The Purchaser acknowledges and agrees that the Vendor shall have the right to use drawings, photographs, videos or other depictions of the interior and/or exterior of the Dwelling and/or the Subdivision or any components or features thereof in any promotional or advertising materials without notice to or consent from the Purchaser being required in any manner whatsoever.

  • Bookings By making a booking the Guest offers to conclude an Accommodation Contract. In the case of appropriate availability of the booked room the Guest receives from Motel One a booking confirmation. Upon acceptance of the booking made by the Guest an Accommodation Contract is created between Motel One and the Guest. Motel One’s offers in relation to available rooms are non-binding and subject to change. Motel One can at its own discretion refuse the conclusion of an Accommodation Contact. There is no right to receive overnight accommodation in a particular room. Motel One retains the right to impose restrictions standard within the industry, such as minimum stays, booking guarantees or deposit payments for certain dates.

  • Licensed Product “Licensed Product” shall mean any article, composition, apparatus, substance, chemical material, method, process or service whose manufacture, use, or sale is covered or claimed by a Valid Claim within the Patent Rights. For clarity, a “Licensed Product” shall not include other product or material that (a) is used in combination with Licensed Product, and (b) does not constitute an article, composition, apparatus, substance, chemical material, method, process or service whose manufacture, use, or sale is covered or claimed by a Valid Claim within the Patent Rights.

  • Royalty Rates On a Licensed Product-by-Licensed Product and country-by-country basis, during the Royalty Term, Imugene shall pay to Precision a royalty equal to the percentages of aggregate annual global Net Sales of such Licensed Product, as set forth below (the “Royalty”), calculated by multiplying the applicable royalty rate percentage by the corresponding portion of aggregate global Net Sales for such Licensed Product in such Calendar Year.   • Sales Reports On or before the twentieth (20th) day of each calendar month after the First Month, Tenant shall submit to City a report (the “Sales Report”) showing all Gross Revenues achieved with respect to the prior month by location, segregated by each source or general type of article sold or service rendered. Such report shall be certified as being true and correct by Tenant and shall otherwise be in form and substance satisfactory to Director. As described below, City shall have the right, in addition to all other rights herein, to impose a fine in the event Tenant shall fail to submit such Sales Report timely.

  • Licensed Products Lessee will obtain no title to Licensed Products which will at all times remain the property of the owner of the Licensed Products. A license from the owner may be required and it is Lessee's responsibility to obtain any required license before the use of the Licensed Products. Lessee agrees to treat the Licensed Products as confidential information of the owner, to observe all copyright restrictions, and not to reproduce or sell the Licensed Products.
