PACKING AND SHIPPING. a. Seller shall pack the goods and materials to prevent damage and deterioration. Buyer may charge Seller for damage to or deterioration of any goods resulting from improper packing or packaging. b. PACKING AND SHIPPING. a. Seller shall pack agrees to comply with the goods and materials to prevent damage and deteriorationrouting instructions referenced on an Order. Unless specified otherwise set forth in this Contractan Order, Seller all Goods shall package the goods be shipped “freight collect” in accordance with the applicable requirements specified in the “Textron Routing Guidelines or “Operating Routing Instructions” utilized in all shipments. Failure to adhere to these shipping guidelines will result in Buyer charging back for the applicable freight charge. No variation from the applicable routing requirements shall be permitted unless approved in writing by Buyer’s authorized procurement representative. Premium transportation will be paid by Buyer only when specifically authorized in advance of Boeing Document D37522-6 “Supplier Packaging”shipment. Buyer may charge If delays caused by the Seller result in the need for damage to or deterioration premium transportation, the additional costs for the premium transportation is the sole responsibility of any goods resulting from improper packing or packaging. b. If the Contract specifies FOB destination (place of delivery), then in addition to any other shipping instructions, Seller shall forward goods freight prepaidSeller. Seller shall make not prepay freight for, or insure or declare value of, any shipment made F.O.B. Seller’s facility. (A) Separate packing lists are required for each Order and must accompany each shipment. The location of the transportation arrangementspacking slip must be clearly marked on the container. The complete Order number must appear on all documents. (B) Single Good containers will be identified with Order, pay the shipping costspart number, and remain responsible for the goods and materials until the goods and materials quantity. When multiple Orders or Goods are delivered combined in one container, they must be separately packaged inside that container and the Buyer takes possession at the destinationpackages identified as to Order, part number and quantity. c. (C) All Goods must be suitably packaged and prepared for shipment to withstand normal transportation and stocking functions. Containers must be in compliance with best commercial practices. (D) Test reports, x-rays, certificates and other supporting documents must accompany each shipment when required by an Order. (E) Seller must not combine shipments destined for different Buyer facilities on the same Xxxx of Lading or in the same container. (F) Goods will be marked in such a manner as to be readily identifiable with the part number reflected on an Order. Kits, assemblies and all parts consisting of multiple Goods must be unit packaged as a complete unit and so identified. If the Contract specifies FOB origin Good is individually packaged, the package will be so marked. Single Goods too small to be separately identified will be separated into lots and tagged or bagged. Proper markings corresponding to the Order description and part number must be applied to the tags and/or bags for handling and storage purposes. With the exception of Goods classified as EAR99 under the EAR (place of shipmentas defined in Clause 29 below), then in addition to any other shipping instructions, Seller shall forward goods collect. For goods shipped within all packages of Goods and the United States, Seller shall make no declaration concerning the value of the goods shipped except on goods where the tariff rating is dependent upon released or declared value. (c) All Products shall be prepared for shipment and suitably packed to prevent damage and or deterioration. Unless otherwise set forth Seller is solely liable for packaging design. (e) Each shipment must include a complete packing list.‌ (f) Interior and exterior containers, Bills of Lading, packing sheets, and all other shipping documents and labels shall be marked with the Purchase Order or Subcontract number. (g) All shipping documents, shipping labels and packing sheets must also show full and complete information as to the appropriate consignee, if any. (h) Buyer reserves the right to specify the mode of shipment. (i) Any expense incurred by Buyer as a result of improper preservation, packaging, packing, marking or method of shipping shall be reimbursed by Seller. Associated Seller costs shall not be recoverable under this ContractAgreement. Thereafter, Blockbuster shall make all Copies (including Replenishment Copies) ready for consumer rental and shall ship such Copies (except for Replenishment Copies) to all Participating Stores for rental to members of the goods public beginning no sooner and no later than the Video Street Date. Promptly upon receipt of any Copies at a Participating Store and prior to any rental or sale thereof, each Participating Store shall enter all applicable barcodes and related information in such Participating Store's POS system. Blockbuster shall comply with all generally applicable Video Street Date policies of *, shall not copy any Copies or related marketing materials nor rent any Copies to prevent damage any customer it has knowledge intends to copy such Copies. Blockbuster shall not cause or permit Copies to be sold, leased or otherwise transferred to or by distributors, sub-distributors or Video Stores other than Participating Stores, except as permitted in Paragraph 4.c. and deterioration4.d. Unless otherwise set forth in this Contracthereof. Blockbuster shall maintain and/or store all Copies only at the Participating Store to which they were originally delivered, Seller shall package except as follows: (i) during rentals to the goods public or following PVT sales as permitted under Paragraph 4.c. and 4.d. hereof; (ii) during viewing by employees of Blockbuster, provided such viewing is accounted for on a dated employee checkout log or in accordance with Blockbuster's ordinary checkout procedure for employees; or (iii) following shipment from one Participating Store to another, provided that each such shipment and the requirements location of Boeing Document D37522-6 “Supplier Packaging”all Copies shipped is reported to * at all times during the applicable Revenue Sharing Period pursuant to Exhibit C. Except as required by Paragraph 4.d. Unless FOD creating packing materials such as vermiculite or packing peanuts are prohibited for shipment(s) against this Contract. Hose ends or exposed connectors on assemblies shall be capped. Parts shall be packaged in quantities specified in this Contract with identification to include Part Number, Manufacturer CAGE code, Manufacturer name, Manufacturer lot or batch or serial number(s) – i.e., if package requirement is 25 parts per pack, there shall be 25 parts in each package. Regardless of transportation mode, all Items shall be suitably packed and properly marked (including notice of hazardous substances) or otherwise set forth prepared for shipment so as to secure the lowest transportation rates and to meet carrier’s requirements (reference ATA-300). When shipping requires multiple containers, each container shall be marked externally with appropriate box number (for example, 1 of x, 2 of x,… x of x) and required traceability documents shall be placed inside of box 1 on top of Items. No charge will be allowed for packing, crating or carriage unless stated in this Contract. Unless otherwise authorized by Xxxxx in writing (i) all surface shipments shall be declared at the lowest release valuation allowed by the carrier and (ii) domestic and international expedited air shipments shall be waived. If Xxxxx has agreed to pay for freight charges (e.g. Collect), the Seller shall ship by the carrier and service level designated by Buyer on this Contract. If not, Seller shall package pay all costs of shipping. b. Risk of loss for the goods Items purchased hereunder shall be borne by Seller until the Items are delivered FCA (Incoterms® 2020) at the point specified in this Contract or, if no point is given, until delivery to Buyer, at Buyer’s facility. c. For each container shipped, Seller shall provide two (2) readable copies of the ASN barcode as follows: one (1) copy is to be securely affixed to the outside of each container and one (1) copy is to be loose inside each container. PACKING AND SHIPPING. a. Seller shall pack the goods and materials to prevent damage and deterioration. Unless otherwise set forth in this Contract, Seller shall package the goods in accordance with the requirements of Boeing Document D37522-6 “Supplier Packaging”. Buyer may charge Seller for damage to or deterioration of any goods resulting from improper packing or packaging. b. If the Contract specifies FOB destination (place of delivery), then in addition to any other shipping instructions, Seller shall forward goods materials freight prepaid. Seller shall make the transportation arrangements, pay the shipping costs, and remain responsible for the goods and materials until the goods and materials are delivered and the Buyer takes possession at the destination. c. If the Contract specifies FOB origin (place of shipment), then in addition to any other shipping instructions, Seller shall forward goods collect.
