Passing of the Risk. The Supplier bears the risk of damage to and perishing of the thing up to the point we or our agent accept the goods at the delivery location in accordance with the agreement. If a delivery includes installation by the Supplier at our premises or at a third-party location and/or acceptance is required by agreement or by law, the risk only passes to us on final acceptance by the end-user. We are entitled to the statutory offsetting and withholding rights, as well as to the defense of nonperformance of contract. We are authorized to retain payments when due, as long as we have any claims against the Supplier arising from incomplete or defective deliveries or services. The Supplier may only exercise a right to offset or a right of retention in the case of uncontested counterclaims or counterclaims recognized by declaratory judgment.

Passing of the Risk. 9.1 The risk of damages and losses of the Goods shall pass to the Buyer from the time the Goods have been shipped ex-works according to the agreed delivery terms under prevailing INCOTERMS.

  • Heating of Room Throughout the Term the Manager will provide a heating system sufficient to provide a comfortable temperature in the Room and will operate, maintain and repair that heating system. During any period in which the heating system is not functioning to the standards set out above, the Manager will use commercially reasonable efforts, after receiving notice of the deficiency, to have the system repaired and functioning as soon as may be possible in the circumstances. In no event however, is the Manager liable to the Resident for any consequential illness or discomfort and the Manager shall not be deemed to be in default of its obligations under this Agreement, so long as it is using commercially reasonable efforts to have the system repaired.

When Granite or its authorized agent owns the splitter, Line Splitting requires the following: a non-designed analog loop from the serving wire center to the network interface device (NID) at the end user’s location; a collocation cross connection connecting the loop to the collocation space; a second collocation cross connection from the collocation space connected to a voice port; the high frequency spectrum line activation, and a splitter. The loop and port cannot be a loop and port combination (i.e. UNE-P), but must be individual stand-alone network elements. When BellSouth owns the splitter, Line Splitting requires the following: a non designed analog loop from the serving wire center to the network interface device (NID) at the end user’s location with CFA and splitter port assignments, and a collocation cross connection from the collocation space connected to a voice port.

  • Processing of Grievance It is recognized and accepted by the Union and the County that the processing of grievances as hereinafter provided is limited by the job duties and responsibilities of the employees and shall therefore be accomplished during normal working hours only when consistent with such employee duties and responsibilities. The aggrieved employee's representative, if an employee, shall be allowed a reasonable amount of time without loss in pay, to investigate a grievance, and present grievances to the County during normal working hours provided the employee and the employee representative have notified the designated supervisor.
