Payment as Additional Rent. The Tenant shall, within fifteen (15) days after demand therefore by the Landlord (with respect to each calendar year during the Term), accompanied by a statement setting forth in reasonable detail the Operating Costs for such calendar year, pay to the Landlord as Additional Rent the amount by which (a) the Tenant’s Percentage of the Operating Costs for such calendar year (as derived and allocated under the provisions of subsection 3.2.3) exceeds (b) the Base Year Operating Costs Amount as defined in subsection 3.2.2.

Payment as Additional Rent. Tenant shall pay Tenant’s Share (as defined in the Basic Lease Information) of Operating Expenses (as hereafter defined) as specified in the Basic Lease Information. Such amounts shall be deemed Additional Rent due from Tenant to Landlord hereunder.

Payment as Additional Rent. For each "Tax Year" (as hereinafter defined) during the Original Term of this Lease, Tenant shall pay to Landlord as additional rent (hereinafter called "Tax Rent"), the amount obtained by multiplying the total of all Taxes payable during such Tax Year by a fraction, the numerator of which shall be the square feet of floor area of the Premises and the denominator of which shall be the total amount of square feet of "Leasable Floor Area" (as defined and computed pursuant to Section 3.03 hereof) in the Shopping Center in effect at the time of such proration. Tenant shall pay monthly, in advance, as additional rent, together with each monthly installment of Fixed Minimum Rent, without demand or setoff, Tax Rent in an amount equal to one-twelfth (1/12th) of the annual amount payable as Tax Rent, as set forth in the paragraph of the Indenture of Lease entitled "Taxes", for each square foot of floor area contained within the Premises. Such amount may be adjusted by Landlord at any time during the Term to an amount equal to one-twelfth (1/12th) of the Tax Rent payable by Tenant for the preceding Tax Year. If Tenant's payment of Tax Rent for any Tax Year exceeds the actual amount payable by Tenant as Tax Rent for such Tax Year (for whatever reason, including receipt by Landlord of any refund of amounts paid, which amount shall be reduced by Landlord's costs in obtaining such refund), Landlord shall refund such excess to Tenant within thirty (30) days, provided Tenant has fully performed all of its obligations under this Lease, is not indebted to Landlord and, if such Tax Year is the last Tax Year in the Term, further provided that Tenant has vacated the Premises in accordance with the provisions hereof. In the event Tenant is indebted to Landlord for any reason whatsoever, Landlord may deduct such amount owed from such overpayment. Tenant shall pay any balance of its Tax Rent for any Tax Year within thirty (30) days' after receipt of notice from Landlord of the amount due. In the event of any dispute as to amounts owed, a copy of the invoice, bill, xxsessment, levy or notice of imposition from the applicable taxing authority shall be conclusive evidence and binding on the parties.

Payment as Additional Rent. All sums paid by Landlord and all costs and expenses incurred by Landlord in connection with the Landlord's performance of any such obligation of Tenant, together with the interest thereon at the rate set forth in Section 304 hereof, shall be paid by Tenant to Landlord on demand as Additional Rent.

This subsection survives the termination or expiration of the Lease.
