PAYMENT OF ADDITIONAL CAPITAL CONTRIBUTIONS. Each Member will be liable for the number of Units that it has indicated in its notice it will purchase pursuant to Section 3.2 or Section 3.4. Additional Capital Contributions that a Member has agreed to make pursuant to this Section or Section 3.4 will be due on the dates specified by the Management Committee upon not less than thirty (30) days' prior written notice. A Member who fails to make an Additional Capital Contribution when due shall be liable to the Company for the amount of the delinquent Additional Capital Contribution together with costs of collection and interest thereon at the prime rate as reported in the Wall Street Journal on the date such Additional Capital Contribution was due plus five hundred (500) basis points.

The Management Committee shall notify each other Member of the need for Capital Contributions pursuant to this Section 4.02 when appropriate, which notice must include a statement in reasonable detail of the proposed uses of the Capital Contributions and a date (which date may be no earlier than the fifth Business Day following each Member's receipt of its notice) before which the Capital Contributions must be made. Notices for Capital Contributions must be made to all Members in accordance with their Sharing Ratios.
